Abstract
<i>Every conceivable manner of accounting, in the same country, at the same time!</i> This is how-with no great exaggeration-the accounting of goodwill in Sweden in the late 1980s might well be described. Many companies still followed the Accounting Act, amortizing their goodwill over no more than ten years. Some, however, referred to the rules in the United States, extending the amortization period to forty years. Yet other companies were influenced by British accounting, writing off goodwill immediately against owners' equity. There were even a couple of companies which recognized goodwill as an asset and retained it indefinitely, with no amortization whatsoever.

Yet other companies were influenced by British accounting, writing off goodwill immediately against owners' equity. There were even a couple of companies which recognized goodwill as an asset and retained it indefinitely, with no amortization whatsoever.



Thus, the methods that came together in Sweden were - besides writing down the value -



the traditional Swedish rule (originating in the German rule of the period between the World Wars): acquired goodwill <i>may</i> be capitalized, and if so must be amortized, over no more than ten years; the American standard: goodwill <i>must</i> be capitalized, but may be amortized over an extended period which, however, must not exceed forty years; the British standard: goodwill <i>need not</i> be capitalized at all, but may be written off immediately, against owners' equity.



This is the background for the description and analysis given here of the several developments, in Britain, Germany and the USA, of methods in the accounting of goodwill from the mid-19th century to the present day.



These divergent methods were the result of specific circumstances in these countries. The present-day principles of profit determination, which in Germany were established by the Act of 1884, the accounting principles agreed upon in Britain in the late 19th century, and the principles which were finally accepted in the USA between the wars, were not sufficiently similar, or not sufficiently precise, to generate identical methods for the accounting of acquired goodwill.



In the concluding chapter, an explanation is given of why, even today, such disparate methods of accounting acquired goodwill are recommended. Common to all the various methods is our deficient knowledge of the precise economic import of acquired goodwill. Few, if any, studies are being made, and investigating it involves considerable difficulties. There is, moreover, usually a choice of definitions of assets and criteria for matching, etc., which are not sufficiently precise to indicate one specific method for accounting goodwill. Still more important is the fact that there are-at least in practice-within the frame of conventional accounting innumerable possibilities of altering or adding to the present definitions. These factors make it possible to develop alternative methods for goodwill, but on the other hand they make it impossible to use arguments from conventional accounting to exclude a particular method, or to determine that there is a single correct method.



Lastly, an answer is suggested to the question whether a single internationally accepted standard is at all conceivable. (Less)

<i>Goodwill</i> har här inte den vanliga betydelsen av det goda anseende som exempelvis ett företag åtnjuter. Det är istället en benämning på skillnaden mellan värdet på hela företaget och summan av värdena på de enskilda tillgångarna minskade med skulderna. Åtminstone tidigare förknippades en sådan skillnad med företagets goda anseende och fick därför benämningen goodwill. Benämningen har dock begränsningen att den leder tankarna till företagets <i>yttre förbindelser</i>. Detta formulerade Eugen Schmalenbach väl redan 1922: "Man pflegt hierbei gewönlich etwas einseitig auf die Beziehungen zur Kundschaft, auf das Renommee der Firma ueberhaupt und allenfalls noch auf die Beziehungen zu den Lieferanten hinzuweisen. Das kann alles sehr wichtig sein, aber dennoch macht dieses allein eine Unternehmung nicht aus, ist heute sogar verhältnismässig unwichtig. Es gibt viele Unternehmungen bei denen die Errichtung der Aussenorganisation nicht entfernt die Bedeutung hat wie der Aufbau des inneren organischen Betriebes." Ordet "affärsvärde", med tyska rötter, kan därför vara lämpligare än lånordet "goodwill".



Om värdet på ett företag som helhet är det pris som en köpare är beredd att betala för företaget tillkommer, utöver företagets yttre förbindelser och inre organisation, vad företaget ifråga betyder tillsammans med köparens egen verksamhet. Inte sällan talas det om samordningsvinster, men särskilt i storföretagens värld handlar det ofta om strukturen i branschen. Ett viktigt sätt att uppnå s.k. globalisering är ju att förvärva andra företag, och priset drivs upp av konkurrensen om ett företag som kan förvärvas.



<i>Redovisning</i> kan förklaras eller definieras på många olika sätt. I det här sammanhanget är det viktigt att skilja mellan redovisning som <i>värdering av företag</i> och redovisning som <i>utgiftsperiodisering</i>. Vid varje tid har det varit en avvägning eller ett spänningsförhållande mellan dessa två funktioner eller uppgifter. Den historiska utvecklingen är nog bäst beskriven av Albert ter Vehn (1929 i: Die Entwicklung der Bilanzauffassungen bis zum AHGB. 5. Sonderheft. Berlin-Wien: Industrieverlag Spaeth & Linde). Redovisningens förhärskande uppgift sedan åtminstone flera decennier tillbaka är dock utgiftsperiodisering, inte värdering, men det kan inte alls uteslutas att avvägningen kommer att ändras igen.



Eduard Rechtmann framhöll, 1926, att ett <i>förvärvat affärsvärde</i> till förvärvspris är ett otyg i en balansräkning för värdering, då denna inte har med förvärvspriser att göra, men högst tänkbart i en balansräkning för utgiftsperiodisering - om affärsvärdet ifråga tas upp med den del som är till nytta för de framtida perioderna. Strängt taget måste en balansräkning för värdering framställa företagets värde, och om den skall ange det totala värdet måste även affärsvärdet vara med. Annorlunda är det med affärsvärdet i en balansräkning för utgiftsperiodisering som, med ord lånade av Eugen Schmalenbach, innehåller det som skall avräknas mot framtiden. Det som är en tillgång i denna balansräkning måste alltså vara så beskaffat att det kan göra något slags nytta i framtiden.



Värdet på ett företag som helhet kan naturligtvis överstiga summan av delarnas värde utan samband med att företaget överlåts. I så fall talar man om inom företaget <i>bildat affärsvärde</i>. Detta kan ha uppstått genom särskilda åtgärder, och därmed utgifter, för att bygga upp de yttre förbindelserna eller den inre organisationen. Sådana utgifter får redovisas enligt allmänna principer för utgiftsperiodisering. Om utgifter däremot inte kan identifieras är utgiftsperiodisering självklart inte möjlig. Om redovisningens uppgift istället är värdering har det ingen betydelse om affärsvärdet förvärvats eller uppstått på annat sätt. (Less)
