Denna uppsats behandlar en nyligen avkunnad dom från Mark-och miljööverdomstolen. Rättsfallet som rör ett moderbolags miljöansvar för sitt helägda dotterbolags miljöskador är intressant både ur en miljö-och bolagsrättslig aspekt. Miljöansvaret faller primärt på verksamhetsutövaren och sekundärt på markägaren. Detta är reglerat i miljöbalken och har ägnats en hel del uppmärksamhet i praxis, förarbeten och doktrin. Ytterligare en möjlighet att hålla någon ansvarig är undantagsvis genom principerna för ansvarsgenombrott då huvudregeln inom aktiebolagsrätten är att aktieägare står fria från personligt ansvar. Rättsfallet som rör ett moderbolags miljöansvar för sitt helägda dotterbolags miljöskador är intressant både ur en miljö-och bolagsrättslig aspekt. Miljöansvaret faller primärt på verksamhetsutövaren och sekundärt på markägaren. Detta är reglerat i miljöbalken och har ägnats en hel del uppmärksamhet i praxis, förarbeten och doktrin. Ytterligare en möjlighet att hålla någon ansvarig är undantagsvis genom principerna för ansvarsgenombrott då huvudregeln inom aktiebolagsrätten är att aktieägare står fria från personligt ansvar. Detta har många gånger ansetts vara en väldigt viktig grundsten i bolagsformen och har troligen lett till att bolagsformen blivit populär.

Domen är fortfarande väldigt ny men trots detta har ett litet antal analyser gjorts på rättsfallet. Gemensamt för dessa analyser är att en del kritik har riktats mot domstolens tillvägagångssätt. Majoriteten har ansett att domstolen i realiteten har medgett ett ansvarsgenombrott trots att domstolen själv är av annan åsikt. Vad domen egentligen innebär för framtiden är det ingen som riktigt vet men som det ser ut i nuläget kan avgörandet få långtgående konsekvenser, särskilt på bolagsrättens område. Situationer som tidigare inte hade gett upphov till ett miljöansvar kan i framtiden innebära det motsatta.

Endast framtiden kan utvisa vilka konsekvenser avgörandet kommer att få, därför är det i nuläget väldigt viktigt för bolag att med hänsyn till avgörandet vara lite försiktiga gällande sina relationer till andra bolag. Det kan vara en god idé att se över avtalsregleringar, skadelöshetsåtaganden och andra regleringar som kan komma att påverkas av detta avgörande. En generell försiktighet är även att rekommendera framöver då det är oklart vilka handlingar som kan ge upphov till ett ansvar samt vilka aktörer som skulle kunna drabbas. (Less)

The present study deals with a recently delivered judgment from the Environmental court of appeal. The case deals with the issue of parent company liability for contamination, which is interesting from both an environmental and a company point of view. The environmental responsibility primarily lies on “the operator” and secondarily on the property owner. This is regulated in the Swedish environmental code and has been brought up to attention in established practice, legislative history and literature. An additional possibility to hold someone responsible is exceptionally by lifting the corporate veil, thus the general rule states that the shareholders do not risk more than the invested capital. The present study deals with a recently delivered judgment from the Environmental court of appeal. The case deals with the issue of parent company liability for contamination, which is interesting from both an environmental and a company point of view. The environmental responsibility primarily lies on “the operator” and secondarily on the property owner. This is regulated in the Swedish environmental code and has been brought up to attention in established practice, legislative history and literature. An additional possibility to hold someone responsible is exceptionally by lifting the corporate veil, thus the general rule states that the shareholders do not risk more than the invested capital. This principle, that states a limited liability, has many times been said to be a very important cornerstone in regards to the form of limited company and has contributed to make this company form very popular.

The judgment is still very new but despite that a few analysis has been made. What these have in common is that a fair amount of critique has been made towards the courts approach. The majority is of that opinion that in reality what the court has done is to lift the corporate veil even though the court itself is of a different opinion. What impact the decision will have on the future is still unknown but as for now it looks like it could result in far-reaching consequences especially in the company field. Situations that did not generate environmental responsibility can in the future result in the opposite.

Only time will tell what consequences this decision will get and therefore it is now of great importance to companies, given this judgment, to be a bit careful with its relationships towards other companies. It could be a good idea to take a look at old contracts, insurances and other agreements that can be affected by this judgment. A general discretion is advised in the future due to the uncertainty about what actions and which operators that will fall under of the scope this judgment. (Less)
