Sammanfattning
En stor del av svensk handel går ut på att distribuera och sälja varor. Ett företag kan välja att distribuera varor självt, alternativt ingå samarbete med annan part. För en part som funderar på att distribuera varor genom samarbete finns det många alternativ att välja på och följaktligen måste en part fundera över och ta ställning till olika för- och nackdelar, exempelvis vilken kontroll över försäljningscykeln som önskas, avtalsparternas resurser, förhållanden på den specifika marknaden och riskfördelning.

Sammanfattning
En stor del av svensk handel går ut på att distribuera och sälja varor. Ett företag kan välja att distribuera varor självt, alternativt ingå samarbete med annan part. För en part som funderar på att distribuera varor genom samarbete finns det många alternativ att välja på och följaktligen måste en part fundera över och ta ställning till olika för- och nackdelar, exempelvis vilken kontroll över försäljningscykeln som önskas, avtalsparternas resurser, förhållanden på den specifika marknaden och riskfördelning.

Denna uppsats utreder distribution genom avtal om kommission. Enligt 23 § Kommissionslagen,(2009:865) KommL, bibehåller kommittenten äganderätt till egendom trots att kommissionären innehar egendom med rätt att förfoga över densamma genom vidareförsäljning. Bestämmelsen fastslår att kommittentens äganderätt består till dess att den övergår till tredje man.

Kommittentens bibehållna äganderätt innebär en möjlighet för kommittenten att ha kreditsäkerhet i egendom, vilket är någonting som är mycket efter-traktat av många olika avtalsparter och även av de som inte har avtalat om kommission. Bibehållen äganderätt medges exempelvis inte äganderättsförbehåll om återförsäljare har fri förfoganderätt över egendomen innan full betalning har erlagts. Principerna i KommL har i och för sig nämnts kunna vara tillämpliga även på andra avtal och framför allt andra mellanmansavtal efter en bedömning i det enskilda fallet, men det är intressant att utreda hur parter som avtalar om kommission faktiskt ska agera för att ett avtal om kommission ska bedömas som ett kommissionsavtal i KommL mening och att kommittenten på så vis kan skydda sin äganderätt och få separera sin egendom ur kommissionärens bo utan att behöva ta hänsyn till övriga borgenärers anspråk. A significant part of Swedish trade involves distributing and selling goods. A company may choose to manage distribution of goods by himself or enter a partnership. A party who consider distribute goods through cooperation must count on various factors, such as desired control of the various market-ing stages, own and the other party resources, conditions in the specific market and risk sharing.

The possibilities to distribute goods by cooperation are many and this paper deals with distribution through agreements of commission, which is governed by the Swedish law of commission, Kommissionslag (2009:865), KommL. Summary
A significant part of Swedish trade involves distributing and selling goods. A company may choose to manage distribution of goods by himself or enter a partnership. A party who consider distribute goods through cooperation must count on various factors, such as desired control of the various market-ing stages, own and the other party resources, conditions in the specific market and risk sharing.

The possibilities to distribute goods by cooperation are many and this paper deals with distribution through agreements of commission, which is governed by the Swedish law of commission, Kommissionslag (2009:865), KommL. The KommL applies to legal relations which one party (trustee) in its own name performs a task that involves selling or buying personal property on the other party's (principal) behalf. Act 23 KommL states that the principal have property right to the property that the trustee holds for the principal's behalf. The fact that the principal continues to have title to the property, despite the fact that the trustee has right to dispose the property through resale before the principal has been paid, offers an opportunity for the principal of having credit secured by property. As compared with sales through retailers with reservation of title where retention of title is not valid if the dealer has free disposal over the property before full payment has been made. The principal’s ability of maintaining ownership is something that is much sought for by other contractors, even though they do not actually have agreed on commission. Although the principles of KommL have termed to have an impact on other contracts and above all other inter-party agreement, it must still be considered preferable to be able to know how a commission agreement is classified as a real commission. It’s therefore very interesting to investigate how contractors must act in order for their contract to actually be evaluated as a commission contract and retaining ownership for the principal and the right of separation without regard to claims from other creditors.
