- Syftet med denna uppsats är att fastställa vilka beslut som faller inom den verkställande direktörens beslutskompetens enligt den svenska aktiebolagslagen.
Jag har i uppsatsen utgått från rättskälleläran och utrett frågeställning med hjälp av lag, förarbeten, rättspraxis och ett rikt litteraturläge. Alla rättskällor har bidragit till en närmre precisering av det centrala begreppet för den verkställande direktörens beslutskompetens, den löpande förvaltningen.
Den löpande förvaltningen visade sig vara ett komplext och brett begrepp som krävde två olika tolkningsmetoder, en objektiv bolagsspecifik metod och en subjektiv näringslivsorienterad metod. - The main purpose of this thesis is to determine which decision fall within the executive directors’ decision-making power in accordance with Swedish corporate jurisdiction.
I have grounded this thesis through a method of legal sources and investigated the question at issue with the help of law, its legislative history, case law and a smorgasbord of literature. All the legal sources have contributed to a closer specification of the core concept of the executive directors’ decision-making power, the ongoing management.
