- Denna uppsats syfte är att studera de föreslagna förändringarna gällande fasta driftställen inom ramen för BEPS action 7. Avstamp görs i gällande svensk rätt för att vidare diskutera OECD:s modellavtal och dess kommentars rättskällevärden med hänsyn till förändringar inom ramen för action 7. Utgångspunkten gällande kommissionärsupplägg i OECD:s diskussionsutkast formuleras som ”i många fall är kommissionärsupplägg och liknande arrangemangs primära syfte att undvika skatt i det land där försäljning sker”. I denna uppsats argumenteras för att OECD:s utgångspunkt kan ifrågasättas. Slutsats är att modellavtalet och dess kommentar efter revideringar i linje med de föreslagna förändringarna i action 7 kommer att sakna rättskällevärde. Centralt... (More)

Centralt för argumentationen står i vilken omfattning förändrat modellavtal är i linje med partsviljan. Annan slutsats som dras är att genom det direkta genomslag vid tillämpningen som är OECD:s syfte så uppmanas till omförhandling av ingångna skatteavtal. Avslutningsvis konstateras att situationer av dubbel icke-beskattning snarare ska fångas upp på annat sätt än genom förändring av modellavtalets artikel 5. (Less)

- The purpose of this thesis is to study the suggested changes in accordance to the
PE definition introduced in the BEPS action 7 working paper presented by the
OECD in September 2014, with public comments due in January 2015. Initially,
the Swedish PE legislation is examined. Further the model convention on income
and capital and its commentaries are discussed regarding its legitimacy as source
of law.
OECD's standing point with reference to commissionaire structures and similar
arrangements is that they are ”put in place primarily in order to erode the taxable
base of the State where sales took place”. In this thesis the standpoint is that the
OECD's conclusion about the purpose of commissionaire structures and similar
... (More) - The purpose of this thesis is to study the suggested changes in accordance to the
PE definition introduced in the BEPS action 7 working paper presented by the
OECD in September 2014, with public comments due in January 2015. Initially,
the Swedish PE legislation is examined. Further the model convention on income
and capital and its commentaries are discussed regarding its legitimacy as source
of law.
OECD's standing point with reference to commissionaire structures and similar
arrangements is that they are ”put in place primarily in order to erode the taxable
base of the State where sales took place”. In this thesis the standpoint is that the
OECD's conclusion about the purpose of commissionaire structures and similar
arrangements can be questioned. Further the conclusion is that the model
convention and its commentary will lose its source of law if the suggested
changes in accordance with the BEPS working paper are implemented. The
argumentation is based on to what extent the changes to the model threatie is in
line with the scope of interest. Another conclusion is that the direct effect
advocated by the OECD should be interpreted as an injunction to renegotiate tax
threaties. Based on the questioned source of law, situations of double non taxation
should instead be targeted with other methods than the suggested changes to the
model convention's 5th article. (Less)
