Uppsatsens frågeställning har sin upprinnelse i att författaren observerade att en ny marknad uppstått där privatpersoner använder sig av sociala me-dier för att sluta avtal med varandra. På denna marknad är oenigheten stor om vilka regler som gäller. Traditionell juridisk metod har använts men det finns också inslag där en kan se att denna metod påverkats av en pro-blem- och intresseorienterad ansats. Traditionell juridisk metod har använts men det finns också inslag där en kan se att denna metod påverkats av en pro-blem- och intresseorienterad ansats. Syftet med uppsatsen är att utreda hur avtalslagen kan tillämpas vid försäljning av varor mellan privatpersoner på internet, och då främst på sociala medier som exempelvis Facebook. Syftet avgränsas genom att inriktas på problem som uppkommer vid försäljningar genom auktion och särskilt frågan om säljarens juridiska möjligheter att ändra villkoren för auktionen efter det att en sluttid angivits och budgiv-ning startat.

Uppsatsens fokus riktas mot begreppen anbud och accept samt på oklarhet-erna kring den juridiska betydelsen av klubbslaget och förbehåll om fri prövningsrätt. Ett opublicerat rättsfall refereras i syfte att illustrera pro-blematiken och det används också som utgångspunkt för analysen. Förfat-taren vill uppmärksamma att hennes objektivitet kan ifrågasättas då hon är personligt berörd av detta fall. Ett auktionsförfarande på sociala medier var inte tänkbart när avtalslagen skrevs för 100 år sedan, dess karaktär gör emellertid att det är möjligt att tolka den utifrån modernare förhållanden. Någon särskild lagstiftning om auktioner finns inte i svensk rätt och preju-dicerande rättspraxis saknas. Utredningen visar att det inte råder någon enighet inom doktrin. Författarens bedömning är således att rättskällorna inte ger någon tydlig ledning och att frågan om hur och när avtalsbunden-het uppkommer är oklar även när det gäller traditionella auktioner, utan inblandning av internet. Ambitionen att redogöra för vad som är gällande rätt får därför ge vika för utredningar och analyser av vad som skulle kunna utgöra gällande rätt.

I den friare analysen förespråkar författaren en tolkning av gällande rätt som innebär att sluttiden får en avgörande betydelse för bedömningen av avtalsmekanismen vid internetauktioner. Vid den tidpunkt när säljaren an-gett en sluttid och budgivning startat bör säljaren anses vara bunden av en viljeförklaring och därför inte längre kunna ändra villkoren för auktionen. Resonemanget förs dels med utgångspunkt i avtalslagens anbud- och ac-ceptmodell, dels med utgångspunkten att auktionsförfarandet måste inord-nas under en egen avtalsmodell. Som skäl för denna tolkning anförs all-männa avtalsrättsliga principer och de ändamål och syften som ligger till grund för den svenska avtalslagen. Visst stöd för tolkningen går också att finna i handelsbruk och sedvänja. Författaren diskuterar även vilka konse-kvenser bedömningen om hur avtalsbundenhet uppkommer kan få för de enskilda parterna och för auktionsmarknaden i stort genom att beskriva vad hon tror att en rättsekonomisk analys hade kunnat tillföra studien och uppmärksammar att hennes antaganden om detta kan ha påverkat analysen. The central question of this essay arose when the author observed that a new marketplace has emerged. In this marketplace individuals use social media to reach agreements with each other. In this marketplace, the dissen-tion is great about which rules apply. Traditional legal method has been used to answer the question, but a problem- and interest-oriented approach has also been used. The purpose of the essay is to investigate how contracts can be applied to the sale of goods between individuals on the Internet, and particularly on social media such as Facebook. The aim has been limited by focusing on issues arising from sales by auction and the question of the seller's legal opportunities to change the terms of the auction after the end... (More)
The central question of this essay arose when the author observed that a new marketplace has emerged. In this marketplace individuals use social media to reach agreements with each other. In this marketplace, the dissen-tion is great about which rules apply. Traditional legal method has been used to answer the question, but a problem- and interest-oriented approach has also been used. The purpose of the essay is to investigate how contracts can be applied to the sale of goods between individuals on the Internet, and particularly on social media such as Facebook. The aim has been limited by focusing on issues arising from sales by auction and the question of the seller's legal opportunities to change the terms of the auction after the end time is given and the bidding started.

The essay's focus is the concepts of offer and acceptance and the uncertain-ties regarding the legal significance of the hammer at auctions and the sub-ject of free consideration. An unpublished legal case is referred to to illus-trate the problem and it is also used as basis for the analysis. The author draws attention to the fact that her objectivity can be questioned since she is personally affected by this case. An auction on social media was not possible when the Swedish Contracts Act was written 100 years ago. Its character, however, makes it adaptable to modern conditions. Specific leg-islation and precedent-setting case law is lacking. The investigation shows that there is no agreement within legal doctrine. Thus the author's assess-ment is that the sources of law do not provide any direct guidance. She also claims the question of how and when contractuality is established is un-clear even when it comes to traditional auctions, without the interference of the Internet. The ambition to explain what the applicable law is must therefore give way to investigation and analysis of what applicable law may be.

In the freer analysis the author advocates an interpretation of the law in which the given end time has a decisive importance for the assessment of the contractual mechanism in online auctions. At the time the seller set an end time and the bidding starts, the seller should be considered bound by his or her declaration of intention and thus not be able to change the terms indicated. As reasons for this interpretation the author adduces general principles of contract law and the purposes and objectives underlying the Swedish “offer- and acceptance model”, but also the need for the auction procedure to be subsumed into its own model for establishing agreement. Some support for the interpretation can also be found in commercial prac-tice and custom. The author discusses what impact the assessment on how contractuality is established can have for the individual parties and the auction market in general. The author finally describes what a proper eco-nomic analysis from a law and economic point of view could have brought to the study and notes that her assumptions regarding this may have im-pacted the analysis.
