- Kunskapssamhällets framväxt har gjort att anställdas kunskap och kompetens fått ökad betydelse för företag och samhället i stort. Företag som önskar skydda kunskap efter en anställnings upphörande väljer därför ibland att använda sig av konkurrensklausuler i anställningsavtal. 2015 slöts ett nytt kollektivavtal rörande användning av konkurrensklausuler i anställningsavtal mellan Svenskt Näringsliv och PTK. Uppsatsens syfte är att kritiskt granska kollektivavtalets regler om tillåtlighet av konkurrensklausuler i förhållande till gällande rätt, praxis, synpunkter och intressen. Företag som önskar skydda kunskap efter en anställnings upphörande väljer därför ibland att använda sig av konkurrensklausuler i anställningsavtal. 2015 slöts ett nytt kollektivavtal rörande användning av konkurrensklausuler i anställningsavtal mellan Svenskt Näringsliv och PTK. Uppsatsens syfte är att kritiskt granska kollektivavtalets regler om tillåtlighet av konkurrensklausuler i förhållande till gällande rätt, praxis, synpunkter och intressen. Framförallt undersöks i vilken utsträckning kollektivavtalet iakttar arbetsgivar- och arbetstagarintressen och synpunkter rörande konkurrensklausulers tillåtlighet i praxis och juridisk litteratur. Uppsatsen redogör för gällande rätt och kollektivavtalets innehåll genom granskning av lag, förarbeten, rättspraxis och juridisk litteratur. Intressen och synpunkter om konkurrensklausuler presenteras genom studier av framförallt doktrin.
Slutsatsen som dras genom granskningen är att kollektivavtalet i hög grad tillgodoser synpunkter i doktrin och praxis. Framförallt tillåter det nya kollektivavtalet nu konkurrensklausuler inom samtliga branscher eller verksamheter, förutsatt att det rör sig om företag med företagshemligheter. Kollektivavtalet uppställer även krav på ekonomisk kompensation till arbetstagaren. Vidare begränsas bindningstiden till att inte överstiga vad arbetsgivaren behöver ifråga om skydd för företagshemligheter. Generellt uppställer kollektivavtalet också tydliga kriterier för bedömning av konkurrensklausuler som bör få bred tillämplighet i framtiden. Kollektivavtalet bidrar därför till förbättrade möjligheter att förutse konkurrensklausulers tillåtlighet och minska missbruk av för långtgående konkurrensklausuler. Kollektivavtalet är utformat på ett rimligt sätt och skapar god balans mellan arbetsgivar- och arbetstagarintressen med ett undantag. Innebörden av begreppet ”konkurrensklausul” är svårtolkat men också avgörande för kollektivavtalets tillämpning. Tolkningssvårigheten riskerar att inverka negativt på förutsebarheten av konkurrensklausulers giltighet. (Less) - Abstract

Hence, companies seeking to protect knowledge after the period of employment sometimes choose to incorporate non-compete clauses in the employment contract. - Since the uprising of the knowledge-based society, knowledge and competence of employees have become increasingly valuable for business and to the society in general. Hence, companies seeking to protect knowledge after the period of employment sometimes choose to incorporate non-compete clauses in the employment contract. In 2015 a new collective agreement regarding the usage of non-compete clauses in employment contract was concluded in Sweden between Svenskt Näringsliv and PTK. The purpose of this thesis is to critically examine the collective agreement in relation to law, legal practice, interests and viewpoints on non-compete clauses. The thesis foremost seeks to determine to what extent the collective agreement takes employer and employee interests and viewpoints regarding admissibleness of non-compete clauses expressed in the legal literature into account. The thesis examines the content of the law and the union contract by looking at Swedish law, legislative history, legal practice and legal science. The content of interests and viewpoints regarding non-compete clauses is presented by the studies of legal literature.
The conclusion that can be drawn is that the collective agreement to a large extent satisfies interests and viewpoints regarding non-compete clauses. Most importantly the new collective agreement allows all branches of industry and all companies to use non-compete clauses, given that trade secrets exists in the business. It also requires that economic compensation is given to the employee. Furthermore it prohibits the binding term from extending further than what the employer needs for protection of trade secrets. In general the collective agreement lays down clear conditions regarding admissibleness of non-compete clauses, which most probably will get widespread application in the future. The collective agreement therefore improve predictability for non-compete clauses’ admissibleness which should decrease the possibilities to abuse extensive non-compete clauses. The collective agreement have been reasonably drawn up and balances the interests of employer and employees well with one exception. The concept of “non-compete clause” is difficult to interpret but crucial for determining application of the collective agreement. The difficulty risks affecting the predictability of non-compete clauses admissibleness negatively. (Less)
