Borgenärsskydd vid köp av lösöre - traditionsprincipen eller avtalsprincipen?

Abstract (Swedish)
Syftet med förevarande uppsats är att belysa den sakrättsliga problematiken kring lösöreköp genom att undersöka huruvida avtalsprincipen är förenad med tillräckligt stora fördelar för att ersätta den nu gällande traditionsprincipen.
Traditionsprincipen har tillämpats i svensk rätt sedan 1800-talet. Dessförinnan erhöll en köpare skydd mot säljarens borgenärer genom köpeavtalet, i enlighet med avtalsprincipen.
Traditionsprincipen infördes genom den första lösöreköpsförordningen. Den huvudsakliga anledningen till dess införande var att få bukt med borgenärsbedrägligt beteende, innebärande att gäldenärer genom att upprätta skenavtal undandrog egendom som annars skulle tillfallit deras borgenärer vid utmätning eller konkurs.

År 2015 presenterade Lösöreköpskommittén, som tillsatts för att utvärdera vilka eventuella fördelar en övergång till avtalsprincipen skulle medföra, ett betänkande i vilket en generell återgång till avtalsprincipen rekommenderades. Enligt kommittén skulle en övergång medföra positiva effekter för samhällsekonomin. Motståndare till avtalsprincipen menade å andra sidan, att traditionsprincipen är fast förankrad i svensk rätt och att den effektivt förhindrar borgenärsbedrägerier.
Utifrån denna uppsats dras emellertid slutsatsen att avtalsprincipen borde återinföras i svensk rätt. Den huvudsakliga anledningen är däremot inte avtalsprincipens slagkraft, utan de brister som är knutna till traditionsprincipen och gör den oförenlig med ett välfungerande handelsliv. (Less)
Abstract
The purpose of this essay is to throw light upon the complexity of the branch of law as regards the Swedish law of property and inquire whether the advantages of the doctrine of consensus exceed the benefits of maintaining the existing doctrine of traditio.
The doctrine of traditio has existed in Swedish law since the 19th century. Before that, the buyer obtained protection against the seller’s creditors through the contract of sale according to the doctrine of consensus.
The doctrine of traditio was imposed through the very first statute of trade with movable property. The major reason for imposing the doctrine of traditio, was to put an end to frequent acts of deception where debtors drew up fictitious agreements in order to deprive... (More)
The purpose of this essay is to throw light upon the complexity of the branch of law as regards the Swedish law of property and inquire whether the advantages of the doctrine of consensus exceed the benefits of maintaining the existing doctrine of traditio.
The doctrine of traditio has existed in Swedish law since the 19th century. Before that, the buyer obtained protection against the seller’s creditors through the contract of sale according to the doctrine of consensus.
The doctrine of traditio was imposed through the very first statute of trade with movable property. The major reason for imposing the doctrine of traditio, was to put an end to frequent acts of deception where debtors drew up fictitious agreements in order to deprive their creditors of personal property that otherwise would have accrued to them.
In 2015 a committee, set up to evaluate the pros and cons of each doctrine, recommended that the doctrine of consensus be reintroduced to Swedish law. According to the committee a reintroduction was expected to have good influence on the national economy. Opponents of the doctrine of consensus on the other hand, are of the opinion that the doctrine of traditio has been a part of Swedish law for a long time, and that it is an effective way of preventing debtors’ deceitful behaviour against their creditors.
From this essay the inference that the doctrine of consensus ought to be reintroduced to Swedish law is drawn. The main reason for this conclusion, however, is not due to any predominant benefits regarding the doctrine itself but because the doctrine of traditio is incompatible with a well-functioning trade.
