Felansvar i Materiella Uppdragsavtal - Med särskilt fokus på kommersiella avtal i entreprenadjuridiken

Abstract (Swedish)
Denna uppsats syftar till att undersöka rättsreglerna gällande fel i materiella uppdragsavtal, samt hur uppdragstagarens felansvar ter sig och vad detta omfattar. Därtill skall uppsatsen i mindre utsträckning utreda huruvida det finns någon genomgående röd tråd inom felansvaret. Omfånget av uppsatsen grundas i standardavtal och lagstiftning för att söka vägledning och stärka upp de olika ansvarsområden vilka åläggs uppdragstagare.

Det kan sägas att fel grundas i två kategorier, fel i förpliktelserna och fel i utförandet. För förpliktelserna kan sedan uppdraget förfelas i uppgifterna eller i tjänsten. Därtill skall uppsatsen i mindre utsträckning utreda huruvida det finns någon genomgående röd tråd inom felansvaret. Omfånget av uppsatsen grundas i standardavtal och lagstiftning för att söka vägledning och stärka upp de olika ansvarsområden vilka åläggs uppdragstagare.

Det kan sägas att fel grundas i två kategorier, fel i förpliktelserna och fel i utförandet. För förpliktelserna kan sedan uppdraget förfelas i uppgifterna eller i tjänsten. Det finns intressanta skillnader mellan de olika uppdragsavtalen, där fel i förpliktelserna vid frakt snarare grundas uppdragstagarens ansvar, än i faktiska fel. Uppdraget kan förfelas i andra avseenden, såsom i uppgifterna eller utförandet, men detta beror alltså snarare på att uppdragstagaren brustit i dennes ansvar. För de övriga materiella uppdragsavtalen har det varit till största del, de köpsrättsliga reglerna som utgjort grunden till uppdragstagarens fel i uppdraget.

Det torde gå att påstå att oavsett vilket uppdragsavtal som än granskats, har det funnits starka kopplingar mellan uppdrag och ansvar. Det kan dock sägas att genomgående för alla uppdragstagare är att denne har ett ansvar att med omsorg genomföra uppdraget. Även här finns det skillnader inom frakt, där omsorgen istället beskrivs som vårdansvar. Därtill borde det gå att säga att för materiella uppdragsavtal, är omsorg i uppdraget av största vikt. (Less)

This paper aims to examine the legal provisions of fault and deficiencies in commercial material commission and how the contractor’s liability for those deficiencies appear, and what it covers. In addition, the aim with the paper is to also see if there is a consistent “red thread” in the liabilities. To achieve the extent of the thesis, standard contracts and legislation have been used as guidance and to strengthen the various liabilities which are imposed on contractors.

Obligations can then be divided into further sections, such as fault in information as well as fault in service. Furthermore, there are interesting differences between the various commission contracts, where for example deficiencies in freight are based in the contractor liabilities, rather than the actual obligation. However, freight contracts can be found faulty in other respects, such as for fault in information and execution, but this mainly rest on the contractors liabilities rather than actual faulty obligation. For other material commissions, legislations regarding sale of goods (köplagen) or employ (konsumenttjänstlagen) are primarily applicable.

Furthermore, it should be possible to say that regardless of the commission contract there have been strong links between the commission and liabilities. However, consistently for all contractors is that they have a responsibility to carefully carry out the assignment. There are differences in freight, here too, where duty of care (vårdansvar) instead is described as the responsibility. In addition, it should be possible to say that within the property commission contracts, the care of obligation is of utmost importance. (Less)
