- Den som förhandlar gör det på egen risk. Det är åtminstone utgångspunkten i den svenska rätten. En förhandlande part som drar på sig kostnader i tron om att ett framtida avtal är säkrat, kan inte räkna med att motparten ska ersätta dessa kostnader ifall affären sedan spricker. Grundregeln är dock inte helt tillfredsställande och sedan länge har man sett nyttan i att stävja illojala beteenden där parterna bara ser till sitt eget bästa. Den allmänna principen culpa in contrahendo är ett uttryck för den senare tanken. Principen kan åberopas för att erhålla skadestånd på grund av motpartens klandervärda beteende i förhandlingsfasen som resulterat i ett uteblivet avtal. Det har dock länge varit tvistigt i frågan kring huruvida principen om culpa in contrahendo går att tillämpa i situationer där ett avtal om fastighetsköp inte nås. Kritikerna har bland annat flaggat för att en sådan tillämpning riskerar att underminera syftet med de formkrav som omgärdar fastighetsöverlåtelser. I den här uppsatsen har jag försökt redogöra för rättsläget efter att Högsta domstolen år 2012 erkände tillämpligheten av allmänna lojalitetshänsyn i form av culpa in contrahendo i samband med fastighetsköp. Utifrån den analysen har jag även diskuterat frågan om det nuvarande rättsläget verkligen tillgodoser de intressen som bör tillgodoses. Slutsatsen är att det fortsatt finns anledning att flytta fram gränsen för det prekontraktuella skadeståndsansvarets inträde. Fastighetsaffären kan många gånger vara kostsam och riskabel och ett större inslag av lojalitet och ömsesidigt riskansvar mellan parterna kan därför erfordas. (Less) - Abstract

As a party in a negotiation one can not presume to get compensation from the counter-party if the deal is off. Though, this principle is not quite satisfying and the law must find a way to restrain parties from acting disloyal in negotiations characterized by egoism. The general legal principle of culpa in contrahendo is an expression for this idea. The principle may be invoked in order to receive compensation for damage caused by the counter-party’s negligent behavior during the negotiation phase. Though, this principle is not quite satisfying and the law must find a way to restrain parties from acting disloyal in negotiations characterized by egoism. However, for a long time it has been indeterminate whether or not the principle should be applicable on situations regarding real estate purchases. Some have argued that such application would undermine the purpose of the formal requirements of real estate purchases. In this essay I have tried to clarify the legal status since the Supreme Court of Sweden, in year 2012, acknowledged the applicability of culpa in contrahendo when negotiating a purchase of real estate. Furthermore I have discussed the question whether or not important interests can be considered respected due to the present legal status. My conclusion is, that in order to fully consider the interests, one must widen the range of applicability of culpa in contrahendo. Real estate business can be associated with high risks and costs and therefore more loyalty and a more equally shared burden of risk should occur in such negotiations. (Less)
