Föreliggande uppsats tar sikte på frågan om tillämplig materiell rätt på tvistefrågorna i internationella skiljeförfaranden. Uppsatsen utgår från svenska internationella skiljeförfaranden. Därvid undersöks dels parternas möjlighet att avtala om tillämplig materiell rätt, dels skiljenämnders tillvägagångssätt för fastställande av denna vid avsaknad av partsöverenskommelse.

Inom skiljeförfarandet är principen om partsautonomi viktig, vilken ger parterna möjligheter att lämna partsinstruktioner åt skiljenämnder avseende förfarandet. Principen anses också omfatta parternas lagval vilket gör att skiljenämnder måste ge verkan åt parternas lagvalöverenskommelse. I detta avseende sträcker sig parternas lagvalsfrihet långt. Även om partsautonomin förklarar att parternas dispositiva utrymme är stort finns det vissa aspekter som parterna bör beakta vid utformningen och innehållet av lagvalsöverenskommelser. Parterna bör eftersträva tydliga överenskommelser som tar sikte på att peka ut en neutral nationell lag för att undvika att tvisten kompliceras.

Avseende hur en skiljenämnd ska gå tillväga för att fastställa tillämplig materiell rätt vid avsaknad av lagvalsöverenskommelse ger LSF ingen ledning. Både i svensk rätt och internationellt talas i denna kontext om två olika metoder för fastställande. Den ena går ut på att fastställa tillämplig materiell rätt med hjälp av lagvalsregler – lagvalsmetoden. Med den andra metoden kan skiljenämnder direkt välja den materiell rätt den finner lämplig – direktvalsmetoden. Båda metoderna har sina specifika för- och nackdelar.

I SOU 2015:37 presenterade utredningen ett lagförslag som avser komma till rätta med problematiken hänförlig till frågan om tillämplig materiell rätt i skiljeförfarande. Förslaget innehåller essentiellt att parternas lagval ska ges verkan av skiljenämnder. Vid avsaknad av partsöverenskommelse ska skiljenämnder tillämpa en modifierad direktvalsmetod. Lagförslaget har dock inte tagits upp till proposition ännu. (Less)

This thesis takes aim at the subject on applicable substantive law on the merits of the parties’ dispute in international arbitration. The scope of the thesis is limited to what is categorized as Swedish international arbitration proceedings. Under the scope, the thesis examines the parties’ legal possibilities to make a choice-of-law agreement and also the arbitral tribunals methods for determining the applicable substantive law absent such choice of law.

The scope of the thesis is limited to what is categorized as Swedish international arbitration proceedings. Under the scope, the thesis examines the parties’ legal possibilities to make a choice-of-law agreement and also the arbitral tribunals methods for determining the applicable substantive law absent such choice of law.

In international arbitration, the principle of party autonomy is considered a cornerstone. The principle makes it possible for parties to the dispute to give instructions to the tribunal regarding the proceedings. The principle is generally perceived to encompass choice-of-law agreements made by parties, effectively binding the tribunal to give effect to the choice-of-law. The parties’ freedom in this regard is wide-ranging. However, there are certain aspects that the parties should consider when drafting a choice-of-law agreement. Namely, the parties are often advised to make a clear choice of law and to select a neutral national law to govern the merits of their dispute. This is to avoid that the dispute complicates even further.

The Swedish Arbitration Act is silent on the matter regarding exactly how the arbitral tribunal shall determine the applicable substantive law in the absent of a choice of law. In this context, both in Swedish law and in International law two different methods are often referred to. One – la voie indirecte – requires the tribunal to determine the applicable substantive using choice-of-law rules. The other – la voice indirecte – imposes no such requirements, with this method the tribunal may choose whatever law it deems appropriate. As is shown in this thesis both methods have their own advantages and disadvantages.

In the Offical Report of the Swedish Government 2015:37 the committee presented a proposal for legislation to come to terms with the problems related to the question of the applicable substantive law in arbitration proceedings. Essentially, the proposed legislation gives effect to choice-of-law agreements entered into by parties. Absent a choice of law, the proposed remedy to deal with the complication is based on, although somewhat modified, la voie direct. However, the proposed legislation is yet to be decided on. (Less)
