Spelaragentens intressekonflikt - En studie av agentens lojalitet gentemot spelaren i ljuset av Svenska Fotbollförbundets nya reglemente

I och med idrottens kommersialisering skapades nya behov och därmed möjlighet för nya aktörer att ta plats på den idrottsliga arenan. En av dessa var spelaragenten, som idag förekommer inom i stort sett alla kommersialiserade idrotter.
Inom fotbollen skedde kommersialiseringen framförallt under 90-talet, där den nya mängden pengar och intressen i branschen, i kombination med den omvälvande Bosmandomen 1995, innebar en explosionsartad ökning av antalet agenter. Det stora behovet av agenter som då uppstod grundade sig främst i det övertag klubbarna tidigare haft över spelarna vid förhandling, och det blev nu vanligt att man som spelare representerades av en agent. Inom fotbollen skedde kommersialiseringen framförallt under 90-talet, där den nya mängden pengar och intressen i branschen, i kombination med den omvälvande Bosmandomen 1995, innebar en explosionsartad ökning av antalet agenter. Det stora behovet av agenter som då uppstod grundade sig främst i det övertag klubbarna tidigare haft över spelarna vid förhandling, och det blev nu vanligt att man som spelare representerades av en agent. Detta innebar i sin tur att det som tidigare var ett dubbelsidigt förhållande mellan klubben och spelaren har i och med agenternas inträde på fotbollsmarknaden utvecklats till ett trepartsförhållande, där förhandlingar som tidigare sköttes mellan enbart spelare och klubb idag påverkas av agentens inflytande som förmedlare mellan de tidigare två aktörerna.
Denna utveckling har dock inte varit problemfri, då omfattande kritik på framförallt senare tid riktats mot spelaragenter, vars bransch idag till stor del förknippas med korruption och hemlighetsmakeri. Detta kulminerade i att polisens nya aktionsgrupp mot kriminalitet inom idrottsmiljön nyligen gick ut med en varning om att det finns kriminella aktörer som tjänar stora pengar på affärerna inom svensk fotboll. Detta är dock inte den enda kritiken som riktats mot agenter, som även anklagats för agera oetiskt och prioriterar sina egna intressen framför spelarens.
I ett försök att bringa ordning på agentmarknaden och bli kvitt många av de aktörer som man anser är skadliga för svensk fotboll har Svenska Fotbollförbundet beslutat att införa ett nytt reglemente för spelaragenter, vilket träder i kraft den 15 juni 2018.

I uppsatsen utreds hur det utifrån agentuppdragets beskaffenhet kan uppstå intressekonflikter mellan spelaren och agenten. Problematiken grundar sig i att agenten har ett eget vinstintresse i förhandlingarna, och spelaren måste därför vara uppmärksam på att agenten agerar lojalt och i enlighet med spelarens intressen.
Mot bakgrund av denna problematik utreder uppsatsen hur spelarens intressen skyddas i relationen till agenten. I uppsatsen granskas därför de regelverk som är tillämpliga på förhållandet mellan spelaren och agenten, för att försöka besvara i vilken mån de tillvaratar spelarens intressen. Denna granskning utgår från det avtal parterna ingår, SvFF:s nya regelverk samt de mellanmansrättsliga regler som är tillämpliga på spelaragentens uppdrag.
Utifrån detta utreder uppsatsen vilka krav man kan ställa på agenten vad gäller att tillvarata spelarens intressen, och konstaterar att agenten har en omfattande lojalitetsplikt i förhållande till spelaren. (Less)

One of these was the player agent, which today occurs in virtually all commercialized sports. The commercialization within football occurred mainly during the 1990s, where an increased amount of money and interests, in combination with the revolutionary Bosman ruling 1995, caused an explosive increase in the number of agents within the industry. The great need for agents that arose was based mainly on the advantage clubs had previously had over players during negotiations, which was now eliminated due to players being represented by an agent. However, this development has not been without problems, since major criticisms have recently been directed at player agents, whose line of business today is largely associated with corruption and secrecy. This culminated in the police's new action group on crime in the sports environment recently issuing a warning that criminal actors are earning big money on the transfers associated with Swedish football. However, this is not the only criticism directed against agents, which are also accused of acting illegally and prioritize their own interests and not the player's.

In an attempt to bring order to the agent market and get rid of many of the actors that are considered to be harmful to Swedish football, the Swedish Football Association has decided to introduce new rules for player agents, which enters into force on June 15, 2018.

The thesis examines how conflicts of interests may arise between the player and the agent based on the nature of the agent’s assignment. The problem is that the agent has his own interests, and the player must therefore be aware that the agent acts loyally and in accordance with the player's interests.

Due to this problem, the thesis investigates how the player's interests are protected in relation to the agent. Therefore, the thesis examines the rules applicable on the relationship between the player and the agent, in order to try to answer to what extent they protect the player's interests. This investigation is based on the agreement between the parties, SvFF's new regulations, and the intermediary rules applicable on the agent's assignment.
Based on this, the thesis tries to answer what can be demanded of the agent regarding promoting the player's interests, and states that the agent has a comprehensive duty of loyalty in relation to the player. (Less)
