Gun-jumping - Överträdelse av fullföljdsförbudet i samband med koncentrationskontroll i EU

Denna uppsats i konkurrensrätt syftar till att utreda vilka åtgärder i en anmälningspliktig företagskoncentration och i samband med fullföljdsförbudet som är tillåtna respektive otillåtna EU-rättsligt. I EU finns det en anmälningsplikt: en företagskoncentration över vissa omsättningströsklar måste anmälas till respektive konkurrensmyndighet. I samband med detta föreligger ett fullföljdsförbud, nämligen att parterna inte får fullfölja koncentrationen, utan måste vänta tills konkurrensmyndigheten har avslutat utredningen och godkänt transaktionen. En överträdelse av anmälningsplikten eller fullföljdsförbudet brukar kallas för gun-jumping.

Under 2018 avgjordes två uppmärksammade fall; ett nederländskt företag ålades det största bötesbeloppet hittills av kommissionen för att ha genomfört koncentrationen innan både anmälan och godkännande. Samtidigt ansågs ett stort revisionsbolag i Danmark inte ha överträtt fullföljdsförbudet i ett förhandsbesked från EU-domstolen.

Slutsatserna i denna uppsats visar att det har skapats en större klarhet än tidigare på rättsområdet inom EU. Det finns dock fortfarande flera oklarheter som gör eventuella överträdelser oförutsebara för parterna till en koncentration. Med de enorma bötesbeloppen som åläggs vore framtida klargöranden därför välkomna.

The aim of this thesis within competition law is to investigate which measures in a notifiable concentration as well as in relation to the suspension rule that are allowed in the EU. It is required that a concentration above certain turnover thresholds are notified to the respective competition authority. This rule is known as the notification requirement. In relation to this, the parties of a concentration may not implement it until the competition authority has completed the investigation and cleared the transaction, a rule that is known as the suspension rule. The findings in this thesis demonstrate that more clarity than before has been brought to gun jumping within the EU. However, it is still fairly unclear what measures constitute a violation of the rules which makes it unpredictable for the parties of a concentration. With the huge fines that are imposed, future clarification would be welcomed.

Sweden has relatively similar rules to the EU regarding the notification requirement and the suspension rule, however regarding sanctions it is quite different. There is not yet any case law on gun-jumping in Sweden. It is therefore somewhat unclear how the Swedish Competition Authority would respond to a violation of the rules.

The findings in this thesis demonstrate that more clarity than before has been brought to gun-jumping within the EU. However, it is still fairly unclear what measures constitute a violation of the rules which makes it unpredictable for the parties of a concentration.
