- Det förekommer kommersiella standardavtal och konsumentstandardavtal. Införlivandet av standardvillkor saknar lagstiftning i både hänseenden. Högsta domstolens avgöranden är därför den primära rättskällan för utvecklingen. Konsumentavtal omfattas däremot av tvingande lagstiftning som har till syfte att skydda konsumenter från oskäliga avtalsvillkor. Standardavtalsrätten är central utgångspunkt för svenska näringsidkare. Även om standardavtal är central utgångspunkt och används frekvent uppstår det rättsliga frågor i båda perspektiven. Huvudregeln är att standardvillkor ska bringas motpartens kännedom före avtalsslutet för att utgöra en del av avtalet. Konsumentavtal omfattas däremot av tvingande lagstiftning som har till syfte att skydda konsumenter från oskäliga avtalsvillkor. Standardavtalsrätten är central utgångspunkt för svenska näringsidkare. Även om standardavtal är central utgångspunkt och används frekvent uppstår det rättsliga frågor i båda perspektiven. Huvudregeln är att standardvillkor ska bringas motpartens kännedom före avtalsslutet för att utgöra en del av avtalet. Ett avtalsvillkor som inte har varit föremål för individuell förhandling anses inte utgöra en del av det individuella avtalet, undantagsvis att näringsidkaren vidtagit skäliga åtgärder för att uppmärksamma konsumenten om villkoren före avtalets ingående. Klausuler i standardvillkoren som anses vara av karaktären oväntade, överraskande och särskilt tyngande påtas näringsidkaren strängare krav.
Ett standardavtalsvillkor anses vara oskäligt om det inte har varit föremål för individuell förhandling, om det i strid med kravet på god sed medför en betydande obalans i parterna rättigheter och skyldigheter enligt avtalet och är till nackdel för konsumenten. Europeiska domstolen har satt vägledningen för hur nationell domstol ska avgöra uppkomna tvister gällande oskäliga avtalsvillkor. Avtalsvillkor som anses vara oskäliga ska enligt EU-domstolen lämnas utan avseende och får därmed inte jämkas med utfyllnadsregler enligt dispositiv rätt. (Less) - Abstract

The ruling of the Supreme Court is therefore the primary source of law for development. Consumer contracts, on the other hand, are covered by mandatory legislation whose purpose is to protect consumers from unfair contract terms. The standard contract law is a central starting point for Swedish traders. Although standard contracts are central and often used, legal issues arise in both perspectives. The main rule is that standard terms must be brought to the party's knowledge before the conclusion of the agreement in order to form part of the agreement. - There are commercial standard contracts and consumer standard agreements. The incorporation of standard terms lacks legislation in both respects. The ruling of the Supreme Court is therefore the primary source of law for development. Consumer contracts, on the other hand, are covered by mandatory legislation whose purpose is to protect consumers from unfair contract terms. The standard contract law is a central starting point for Swedish traders. Although standard contracts are central and often used, legal issues arise in both perspectives. The main rule is that standard terms must be brought to the party's knowledge before the conclusion of the agreement in order to form part of the agreement. A contractual term that has not been subject to individual negotiation is not considered to be part of the individual agreement, except that the trader has taken reasonable measures to alert the consumer to the conditions prior to the conclusion of the agreement. Clauses in the standard terms that are considered by the character unexpected, surprising and especially burdensome are imposed on the trader stricter requirements.
A standard contractual condition considered to be unfair if it has not been subject to individual negotiation, if, contrary to the requirement of good practice, it entails a significant imbalance in the parties rights and obligations under the agreement and is to the detriment of the consumer. The European Court of Justice has provided guidance on how national courts should settle disputes arising from unfair contract terms. Contract terms that are considered unfair shall, according to the European Court of Justice, be left out of respect and may therefore not be adjusted with supplementary rules according to the applicable law.
