Avtalets systematik och övriga villkor - En studie av systematisk avtalstolkning och det processrättsliga stödet för sådan tolkning

Högsta domstolen har i ett antal mål om avtalstolkning uttalat att ledning kan sökas i avtalets systematik och övriga villkor, något som kommit att kallas systematisk avtalstolkning. Enbart begreppet systematisk avtalstolkning avslöjar dock inte mycket om vad det egentligen är domstolen kan tillmäta betydelse vid tolkningen. I denna uppsats undersöks därför vad systematisk avtalstolkning är genom en granskning av ett flertal avgöranden från Högsta domstolen.

I denna uppsats undersöks därför vad systematisk avtalstolkning är genom en granskning av ett flertal avgöranden från Högsta domstolen.

Utgångspunkten i ett dispositivt tvistemål är att det är parterna som bestämmer ramarna för processen. Att domstolen beaktar avtalets systematik och övriga villkor verkar vid en första anblick innebära att andra delar av avtalet beaktas än just den del som är föremål för tvisten. Därför uppstår frågan om vilket processuellt stöd domstolen har för att beakta avtalets systematik och övriga villkor. Frågan om vilket processuellt stöd domstolen har besvaras ur ett teoretiskt perspektiv utifrån processrättsliga regler och förutsättningar. Därefter besvaras frågan ur ett praktiskt perspektiv genom att ett antal avgöranden granskas även processrättsligt.

I uppsatsen nås slutsatsen att systematisk avtalstolkning kan innebära att domstolen beaktar avtalets systematik på en rad olika sätt. Några av de omständigheter som kan få betydelse är placeringen av en klausul och intrycket av att en eller flera andra klausuler i avtalet bygger på vissa förutsättningar.

Gällande frågan om domstolens processuella stöd konstateras att domstolen kan ha stöd för att beakta avtalets systematik och övriga villkor på en rad olika grunder. Det är svårt att i efterhand utläsa på vilken grund Högsta domstolen har beaktat avtalets systematik. Det gör det i sin tur svårt att bedöma om domstolen har uppfyllt sina skyldigheter gällande materiell processledning. En annan slutsats är att domstolen är väldigt fri vid sin avtalstolkning. (Less)

The Supreme Court of Sweden has stated in several rulings that the system and other terms of a contract may be considered in the interpretation of a contract clause. The principle has come to be called systemic interpretation. However, the word systemic does not reveal much about what the court may specifically consider when interpreting a contract. Therefore, this thesis examines a number of rulings from the Supreme Court to determine what systemic contract interpretation more specifically is.

The Supreme Court of Sweden has stated in several rulings that the system and other terms of a contract may be considered in the interpretation of a contract clause. The principle has come to be called systemic interpretation. However, the word systemic does not reveal much about what the court may specifically consider when interpreting a contract. Therefore, this thesis examines a number of rulings from the Supreme Court to determine what systemic contract interpretation more specifically is.

The main principle in an action amenable to out-of-court settlement, such as an action regarding contract interpretation, is that the parties determine the action’s framework. The method of considering the system and other terms of a contract appears to mean that the court considers other parts of the contract than the one that is subject to the dispute. The question therefore arises as to what procedural authority the court has to consider the system and other terms. The question is answered from a theoretical perspective on the basis of procedural rules. It is also answered from a practical perspective by application to a number of rulings from the Supreme Court.

The study of Supreme Court case law revealed that the system and other terms of a contract may be regarded in several different ways. Some of the factors that may be considered are the disposition of the clauses and the perception that one or more clauses in the contract are based on certain prerequisites.

Regarding the question of the court’s procedural authority the conclusion is drawn that the Court has many different types of authority to consider the system and other terms of a contract. However, it is difficult to percept what procedural authority the Court has had in an individual case. That, in turn, makes it difficult to assess whether the Court has failed in its direction of proceedings. Another conclusion is that the Court is able to interpret the contract very freely. (Less)
