- Since the end of 2016, Swedish companies of a certain size are obliged to prepare a sustainability report with information relating to the companies' work on sustainability. This essay describes the regulations in the Annual Accounts Act (ÅRL) on sustainability reporting for companies of a certain size as a result of EU Directive 2014/95/EU. The purpose of the regulations is to increase the disclosure of non-financial information such as social and environmental factors in order to make the information transparent and comparable. - Since the end of 2016, Swedish companies of a certain size are obliged to prepare a sustainability report with information relating to the companies' work on sustainability. This essay describes the regulations in the Annual Accounts Act (ÅRL) on sustainability reporting for companies of a certain size as a result of EU Directive 2014/95/EU. The purpose of the regulations is to increase the disclosure of non-financial information such as social and environmental factors in order to make the information transparent and comparable. The main purpose of this essay is to examine the meaning of the rules and the boards responsibility for the preparation and content of the sustainability report. In addition to an exposition of the fundamental principles of The Swedish Companies Act (ABL), focusing on the responsibilities and obligations of the board, this essay will examine Directive 2014/95/EU and its implementation in national law.
This essay shows that the board is responsible for the company's financial and non-financial reporting and that the sustainability report and its preparation fall under the responsibility of the board. Furthermore, this essay shows that a sustainability report that contains material errors causing financial harm to third parties ultimately can lead to a board member becoming personally liable for the damages. In order to become liable, the board member must have acted with intent, negligence and contravened the provisions of ABL, ÅRL or the Articles of Association during his or her assignment. Consequently, it is important that the board, when preparing the sustainability report, carefully thinks through the information and does not neglect to report certain information which leads to an inaccurate sustainability report. Uppsatsen visar att styrelsen är ansvarig för bolagets finansiella och icke-finansiella rapportering och att hållbarhetsrapporten och dess upprättande faller in under styrelsens ansvar. Vidare visar uppsatsen att en hållbarhetsrapport som innehåller väsentliga fel som orsakar ekonomisk skada gentemot tredje man ytterst kan leda till att en styrelseledamot blir personligt skadeståndsansvarig. För ansvarsutkrävande krävs att styrelseledamoten under sitt uppdrag agerat med uppsåt, oaktsamhet och överträtt bestämmelser i ABL, ÅRL eller bolagsordningen. Följaktligen är det av vikt att styrelsen vid hållbarhetsrapportens upprättande tänker igenom upplysningarnas formulering och inte underlåter att lämna vissa upplysningar så att hållbarhetsrapporten blir felaktig.
