- Det finns ett antal faktorer som krävs för att en ekonomi ska kretsa fritt utan
störningar eller stagnation. Några av dessa faktorer är förstås på
nationalekonomisk basis, andra är juridiska. Många av de juridiska åtgärder
som vidtas på lagstiftningsnivå är i syfte att främja handel, utan att en part
ska stå en för stor ekonomisk risk i händelse av motpartens oförmåga eller
ovilja att betala sin skuld. Ingen skulle vilja vara någon annans borgenär om
det inte funnits något skyddsnät eller möjligheter att vidta säkerhetsåtgärder
mot gäldenären. Denna uppsats behandlar en av de säkerhetsåtgärder som
accepteras i svensk sakrätt.

Sakrätten erbjuder ett antal olika möjligheter för borgenären att säkra sin
fordran på gäldenären. Vanliga sådana åtgärder är pantsättning och
äganderättsförbehåll. Sedan slutet på 1900-talet kan dessutom pantsättning
av immaterialrätter göras, medan det fortfarande är oklart om den
egendomstypen även omfattas av äganderättsförbehåll. Denna uppsats
behandlar dock inte något av de två säkerhetsrätterna. I denna uppsats
uppdagas och analyseras ett antal problem som kan uppstå för borgenären
när han redan har gäldenärens egendom i sin besittning, och som ett
påtryckningsmedel, håller tillbaka den för att få gäldenären att betala sin
skuld. Detta kallas retentionsrätt. Även nya idéer som borgenären kan
använda sig av lyfts i denna uppsats fram. Några av dessa idéer har aldrig
tidigare diskuterats i förarbeten, praxis eller doktrin.
Det största problemet som denna uppsats inriktar sig på är huruvida en
borgenär får lov att retinera en immaterialrätt. Det faktiska problemet med
detta är för det första att en immaterialrätt inte kan bli fysiskt tillbakahållen.
För det andra är ett ännu större problem för en sådan tillämpning
traditionsprincipen som normalt används vid retention av lösa saker. I denna
uppsats presenteras ett antal idéer som skulle kunna användas för att komma
undan denna princip och tillämpa retention på immaterialrätter. Uppsatsen
konstaterar att det finns en liten sådan ingång, men det avslöjar också andra

rättsliga svårigheter. Svårigheter såsom närmast alltför förmånliga regler för
borgenären i preskriptionslag (1981:130). Dessutom, hur står sig en sådan
tillämpning i förhållande till det strängt hållna kravet om konnexitet? Och så
vidare.
Att tillämpa retentionsrätt på immaterialrätter tycks slutligen närmast vara
uteslutet, även om det finns ett antal vägar genom analog tolkning till
köplag (1990:931). Frågan är bara, i hur stor utsträckning kan denna lag

interference and stagnation. Many of those aspects are solely financial in
nature, and some are legal. Many of the legislative measures taken to benefit
the national economy fill the purpose of creating an incentive for trade,
without the risk of suffering a great loss because of the counterpart’s
inability or lack of will to pay. Nobody would want to be someone else’s
creditor if there was no legal protection or right to take personal measures
against an obligor. This essay discusses and analyses one of those personal
measures provided in the Swedish law of property.
The law of property provides a wide array of different opportunities for the
creditor to... (More) - An economy is dependent on numerous different factors to function without
interference and stagnation. Many of those aspects are solely financial in
nature, and some are legal. Many of the legislative measures taken to benefit
the national economy fill the purpose of creating an incentive for trade,
without the risk of suffering a great loss because of the counterpart’s
inability or lack of will to pay. Nobody would want to be someone else’s
creditor if there was no legal protection or right to take personal measures
against an obligor. This essay discusses and analyses one of those personal
measures provided in the Swedish law of property.
The law of property provides a wide array of different opportunities for the
creditor to ensure coverage for his claim on the obligor. Common measures
the creditor can benefit from are possessory lien and nonpossessory lien.
Since the late 20th century possessory liens can also be made on intellectual
rights, while it’s still unclear whether the rules of nonpossessory liens
provide this possibility. This essay is however about none of those two
presented forms of lien. In this essay legal problems which can emerge at
the expense of the creditor are highlighted and analysed when he already has
the obligor’s property in his possession and need, as a source of leverage, to
withhold it until the obligor pays his debt. This is called the creditors right
of retention. New ideas which can benefit a creditor who has the obligor’s
property in his possession are also emphasized. Some of these ideas have
never before been discussed in Swedish legislative history, case law nor in
doctrine.
The greatest issue this essay examines is whether it is possible for a creditor
to retain an intellectual property. The problem with the thought of
withholding someone’s intellectual property is that it can’t be done
physically, as is the case for tangibles. An even bigger problem is the use of
the doctrine of traditio (traditionsprincipen) which stands in the way to
retain intangibles. In this essay a few ideas and theories are presented to

evade this principle in Swedish law to enable a possibility to apply the right
of retention on intellectual property. As the essay concludes it is clear that
there are limited opportunities of doing so, however this reveals other
problems. Problems such as almost too beneficial advantages in the Swedish
Statue of Limitation act (preskriptionslag (1981:130)). In addition, can a
right of retention of intangibles stand against the supreme court’s
requirement of connectivity? And so on.
The thought of intellectual rights becoming subject to the right of retention
is sadly most likely precluded, despite there seemingly exists a few small
passages through analogy from the Sale of Goods Act (köplag (1990:931)).
The question is, to what extent can this act be applied to intangibles? (Less)
