Innebörden av etableringsfriheten är att för juridiska personer kunna flytta sin verksamhet och dess säte till ett annat medlemsland, utan att för den delen behöva ombildas från grunden upp i det andra landet. Dock är detta inte så enkelt som man kan tro utan det finns en del inskränkningar som försvårar rätten till fri etablering, bland annat de lagvalsprinciper som de olika medlemsländerna använder, nämligen sätesprincipen respektive registreringsprincipen.

Dock är detta inte så enkelt som man kan tro utan det finns en del inskränkningar som försvårar rätten till fri etablering, bland annat de lagvalsprinciper som de olika medlemsländerna använder, nämligen sätesprincipen respektive registreringsprincipen.

Dessa principer har varit omdiskuterade och är det än idag - speciellt avseende vilken funktion de ska tänkas fylla och vilken som ska anses vara överordnad den andra. Av rättspraxis framkommer att EU-domstolen inte fattat beslut i denna fråga och således varken föredrar den ena eller den andra av de två. Såväl sätesprincipen som registreringsprincipen är varandras konkurrenter och eftersom de tillämpas av olika medlemsländer så skapar det oftast också konflikter mellan dessa och hur denna problematik i sin tur ska lösas.

Under uppsatsens gång diskuteras principerna mot bakgrund av etableringsfriheten samt även de möjligheter och begränsningar som finns på bolagsrättens område. Även om en juridisk person ska anses ha samma möjligheter som fysiska personer på den inre marknaden så är detta troligt i teorin, men långt ifrån att uppfyllas i verkligheten.

Den rättspraxis som finns på bolagsrättens område är det som hittills utgjort och fortfarande utgör en viktig roll för etableringsfrihetens tillväxt på den inre marknaden. Det som dock fortfarande saknas är en enhetlig harmonisering på detta område. (Less)

The purpose of the freedom of establishment is for legal persons to be able to move their business and its registered office to another Member State within the European Union, without having to be transformed from the ground up in the other country. However, this is not as simple as one might think since there are some restrictions that make the right to free establishment more difficult, including the choice of law principles used by the various countries; namely the real seat doctrine and the incorporation doctrine respectively.

The purpose of the freedom of establishment is for legal persons to be able to move their business and its registered office to another Member State within the European Union, without having to be transformed from the ground up in the other country. However, this is not as simple as one might think since there are some restrictions that make the right to free establishment more difficult, including the choice of law principles used by the various countries; namely the real seat doctrine and the incorporation doctrine respectively.

These principles have been widely debated and still are to this day - especially regarding which function they fulfill and which one of them should be considered as superior to the other. It is clear from the case law that the European Court of Justice (ECJ) has not ruled on this issue and thus places neither one above the other. Both the real seat doctrine and the incorporation doctrine are each others opposites, and since they are applied by different member states it often creates conflicts between them and how this problem in turn should be resolved.

During the course of the thesis, the principles are discussed in the light of the freedom of establishment as well as the opportunities and limitations that exist in the field of company law. Although a legal person should be considered to have the same opportunities as natural persons in the internal market, this is likely in theory, but far from being fulfilled in reality.

The case law in the field of company law is what has hitherto been and still inhabits an important role for the growth of freedom of establishment in the internal market of the EU. What is still lacking, however, is uniform harmonization in this area. (Less)
