Den moderna ekonomin präglas av globalisering, kunddriven marknad och ett mer tjänstedrivet affärslandskap. Det innebär att det idag sluts fler och mer komplexa långtidskontrakt vilka ofta kompletteras av tilläggsavtal. Tendenserna i den moderna ekonomin rörande avtalsstrukturer är intressant i förhållande till tvistlösning i skiljedomstol.

Lag (1999:116) om skiljeförfarande stadgar att för att en skiljenämnd ska vara behörig att pröva framtida tvister mellan parter krävs det att skiljeklausulen reglerar ett bestämt rättsförhållande. Den moderna ekonomin präglas av globalisering, kunddriven marknad och ett mer tjänstedrivet affärslandskap. Tendenserna i den moderna ekonomin rörande avtalsstrukturer är intressant i förhållande till tvistlösning i skiljedomstol.

Lag (1999:116) om skiljeförfarande stadgar att för att en skiljenämnd ska vara behörig att pröva framtida tvister mellan parter krävs det att skiljeklausulen reglerar ett bestämt rättsförhållande. Syftet med uppsatsen är att utreda på vilket sätt kravet på bestämt rättsförhållande påverkar skiljeavtalets räckvidd. För att besvara frågan tillämpas rättsdogmatisk metod. Stor vikt kommer att läggas vid tidigare avgöranden från Högsta domstolen i frågan. HD har tidigare förespråkat en restriktiv syn på skiljeavtalets räckvidd. I och med domstolens senaste avgörande, NJA 2019 s. 171 ”Belgor”, verkar domstolen dock ha anslutit sig till en mer internationellt gångbar extensiv tolkning. Domstolen fastslog i målet att kravet på bestämt rättsförhållande ska avgöras i enlighet med Konventionen om erkännande och verkställighet av utländska skiljedomar, New York 10 juni 1958 (New York-konventionen). Vidare framhöll domstolen att om partsvilja inte kan utrönas ur skiljeavtalet ska det presumeras att kommersiella parter strävar efter att lösa alla tvistefrågor i samma forum. Dessutom ska det, i fall av klandertalan, presumeras att det är skiljenämnden som haft bäst förutsättningar att pröva sin behörighet.

Högsta domstolen synes ha anslutit sig till en internationellt gångbar, extensiv tolkning av kravet på ett bestämt rättsförhållande och skiljeavtalets räckvidd. Det är positivt ur såväl ett samhällsperspektiv som ur ett internationellt skiljedomsrättsligt perspektiv. (Less)

The modern economy is characterized by globalization, a customer-driven market, and a more service-driven business environment. An increasing number of complex long-term contracts are concluded than before, which are often complemented by supplementary agreements. Contract structures in the modern economy are of interest in relation to dispute resolution in arbitration.

The Swedish Arbitration Act (SFS 1999: 116) stipulates that for an arbitration tribunal to have competence to rule over future disputes between parties, the arbitrary clause needs to regulate a defined legal relationship. The modern economy is characterized by globalization, a customer-driven market, and a more service-driven business environment. An increasing number of complex long-term contracts are concluded than before, which are often complemented by supplementary agreements. Contract structures in the modern economy are of interest in relation to dispute resolution in arbitration.

The Swedish Arbitration Act (SFS 1999: 116) stipulates that for an arbitration tribunal to have competence to rule over future disputes between parties, the arbitrary clause needs to regulate a defined legal relationship. The objective of this paper is to examine in what way the requirement of a defined legal relationship affects the scope of the arbitration agreement. To determine how the requirement affects the scope of the arbitration agreement, legal dogmatic method is used. Emphasis will be on previous rulings by the Supreme Court, in which the court has advocated a restrictive view in relation to the scope of the arbitration agreement. However, the court seems to have embraced a more internationally acceptable extensive interpretation in its latest ruling, NJA 2019 p. 171 “Belgor”. In the case the Court ruled that the requirement of a defined legal relationship shall be determined in accordance with the Convention on the Recognition and Enforcement of Foreign Arbitral Awards, New York, June 10, 1958. The court furthermore emphasised that if the will of the parties cannot be ascertained from the arbitration agreement, it should be presumed that commercial parties strive to resolve all disputes in the same forum. In addition, in the case of a nullity suit, it should be presumed that the arbitral committee has made a correct assessment of their competence.

In conclusion, the fact that the Supreme Court seems to have embraced an internationally valid, extensive interpretation of the scope of the arbitration agreement and the requirement of a defined legal relationship. This is a positive development both from a societal perspective and from an international arbitration perspective. (Less)
