Comparison between CISG II, Swedish and Chinese Contract Law

Kina har under flera års tid varit en av världens snabbast växande ekonomier och utgör därmed en enorm potentiell marknad för svenska företag. Den ökande handeln och transaktionerna med Kina kräver förståelse för kinesisk kontraktsrätt, som ännu inte är särskilt välkänd eller studerad i resten av världen.
Syftet med uppsatsen är att jämföra och analysera likheter och skillnader mellan svensk och kinesisk kontraktsrätt samt CISG gällande ingående av avtal. Jämförelsen tar sikte på skillnader gällande anbud och accept, återkallande, culpa in contrahendo och formkrav. Kina har under flera års tid varit en av världens snabbast växande ekonomier och utgör därmed en enorm potentiell marknad för svenska företag. Den ökande handeln och transaktionerna med Kina kräver förståelse för kinesisk kontraktsrätt, som ännu inte är särskilt välkänd eller studerad i resten av världen.
Syftet med uppsatsen är att jämföra och analysera likheter och skillnader mellan svensk och kinesisk kontraktsrätt samt CISG gällande ingående av avtal. Jämförelsen tar sikte på skillnader gällande anbud och accept, återkallande, culpa in contrahendo och formkrav. Uppsatsen syftar även till att beskriva hur man lyckas i internationella avtalsförhandlingar i praktiken, och i synnerhet i förhandlingar med en kinesisk motpart. Denna del är främst baserad på intervjuer med erfarna affärsjurister.
Kinesisk kontraktsrätt överensstämmer till största del med CISG i de flesta aspekter, i synnerhet vad gäller anbud och accept, återkallande (withdrawal and revocation) och formkrav. Kinesisk kontraktsrätt har dock även utvecklat bestämmelser som särskilt reglerar bland annat datameddelanden och digitaliserade kommunikationsmetoder. Svensk kontraktsrätt skiljer sig åt från CISG , och därmed även från kinesisk kontraktsrätt, gällande återkallande på grund av den svenska löftesprincipen. Culpa in contrahendo är inte reglerat under CISG , men regeln är intagen i den kinesiska kontraktsrätten och i svensk rätt är regeln etablerad genom prejudikat. De främsta hindren som kan uppstå under internationella avtalsförhandlingar beror på kulturella skillnader men kan förebyggas genom noggranna förberedelser. (Less)

China has for many years been one of the world's fastest growing economies and has enormous potential for Swedish companies. The increase in trading and transactions with China requires an understanding of Chinese Contract Law, which is neither widely studied nor well known to the world.
The purpose of this study is to compare and analyse the similarities and differences between Swedish, Chinese Contract Law and CISG when it comes to the conclusion of a contract and how to succeed in international contract negotiation in practice with a China focus. When I answer the similarities and differences between Swedish, Chinese Contract Law and CISG, I will compare and analyse contract conclusions concerning the questions about offer and accept, withdrawal and revocation, culpa in contrahendo and formal requirements. I will also answer how to succeed in international contract negotiations with a Chinese counterpart which is based on face to face interviews with experienced lawyers.
The Chinese Contract Law is very much similar to CISG in many aspects, especially when it comes to offer and acceptance, withdrawal and revocation, and formal requirements. But the Chinese Contract Law advances a little bit by regulating among others data messages and digitalisation of previous communication methods. Swedish Contract Law differs from CISG , and therefore also in comparison with Chinese Contract Law, specially under withdrawal and revocation, because Swedish Contract Law has a promise principle. Culpa in contrahendo is not regulated in CISG while it is regulated in Chinese Contract Law and through precedents in Swedish. The main difficulties are cultural differences and the best negotiation tip is to be prepared. (Less)
