- Den svenska avtalslagen, med tillhörande principer, har existerat i över 100
år. Parallellt med att avtalsrätten stått stadigt har den teknologiska utvecklingen
tagit markanta kliv framåt. De metoder för avtalsslut som var i åtanke
vid utformandet av lagen är vitt skilda från de metoder som finns tillgängliga
i dag. Detta har, än så länge, inte visat sig vara ett större problem. De regler
och principer på vilka avtalslagen grundas har visat sig stå väl för att lösa
problem även i moderna kontexter för avtalsslut.
I denna uppsats ställer jag avtalslagen inför ännu en utmaning som moderniseringen
av avtalsslutet ger upphov till: automatiska elektroniska avtalsslut.

I denna uppsats ställer jag avtalslagen inför ännu en utmaning som moderniseringen
av avtalsslutet ger upphov till: automatiska elektroniska avtalsslut.
Dessa avtalsslut är till skillnad från sina äldre, men fortfarande elektroniska,
föregångare, nästan helt avpersonifierade. Avtalsslutet genomförs automatiskt
av det elektroniska systemet. Hur står sig avtalsrätten för att lösa de problem
som kan uppstå vid dessa typer av avtalsslut?
För att konkretisera har tre typfall utformats som konstituerar uppsatsens fokus.
I samtliga typfall har – på grund av fel i det automatiska elektroniska
systemet – en innehållsmässig diskrepans uppstått mellan parts vilja att binda
sig avtalsrättsligt (åsyftad vilja) och viljan så som den uttrycks för motparten
(uttryckt vilja).
Frågeställningen är vad det rättsliga utfallet ska bli av typfallen enligt gällande
rätt, samt om utfallet av en tillämpning av reglerna i en elektronisk kontext
linjerar med lagstiftarens intentioner; eller om resultatet avviker från intentionerna
när kontexten för tillämpning är elektronisk.
Resultatet utmynnade i att två bestämmelser i avtalslagen aktualiseras. Man
kan på goda grunder argumentera för tillämpning av såväl den ena som den
andra. Rättsläget är i det avseendet oklart. Det otillfredsställande i detta är att
en tillämpning av den ena bestämmelsen ger ett resultat som är raka motsatsen
till resultatet av den andra. Detta tillsammans med smärre tillämpningsproblem
resulterar i att uppsatsen klarlagt fler problem än erbjudit lösningar. (Less) - Abstract

over 100 years. While the contract law has remained mostly unchanged, the
technological development has taken drastic steps forward. The methods for
closing contracts that were in mind when forming the Swedish Contracts Act
are vastly different from today’s available methods. This has, thus far, not
shown to be any larger problem. The laws and principles on which the Contracts
Act is founded upon has shown to be usable even for problems in modern
contexts for closing contracts.
In this thesis I put the Contracts Act to the test once again against another
challenge that modernization brings: automatic electronic closing of contracts.

In this thesis I put the Contracts Act to the test once again against another
challenge that modernization brings: automatic electronic closing of contracts.
These methods for closing contracts are, in contrast to their electronic
predecessors, almost entirely depersonalized. The closing occurs automatically
through an electronic system. How does the contract law fare to settle
disputes that may occur in these situations?
To define the matter more concretely, three scenarios were formed which
constitute the thesis’ focus. In each of these scenarios, a defect in the electronic
system causes a discrepancy between the contents of a party’s intentions
to be bound contractually (intended will) and the intentions as they are
expressed to their counterpart (expressed will).
The principal research question is what the legal outcome of the scenarios
should be according to the law. Additionally, if this outcome is harmonious
with the legislative intent of the Contracts Act, or if it differs when the context
of application is electronic.
The result of the study was that two laws in the Contracts Act emerged to
adjudicate the scenarios. One or the other can be applied: the legal situation
is in that matter unclear. This is disconcerting as the outcome of applying one
law is contrary to the other. Combined with other minor difficulties in application
results in that this thesis has contributed to define more problems rather
than offer solutions. (Less)
