Ändring och eftergift av avtalsvillkor till följd av passivitet - En studie av senare års praxis från Högsta domstolen gällande passivitet

Under många år har passiviteten varit en relativt underordnad figur i svensk rätt. På senare tid har dock Högsta domstolen lämnat flera avgöranden där passiviteten särskiljs från andra liknande institut som reklamation och preskription.

Från att enbart handla om försittande av tid har passivitet blivit erkänd som allmän princip med flera rättsregler som följd. Uppsatsen gör inget anspråk på att ha identifierat passivitetens fullständiga regelverk men ett antal möjliga tillämpningar av passivitet har identifieras och problematiseras.

Under många år har passiviteten varit en relativt underordnad figur i svensk rätt. På senare tid har dock Högsta domstolen lämnat flera avgöranden där passiviteten särskiljs från andra liknande institut som reklamation och preskription.

Från att enbart handla om försittande av tid har passivitet blivit erkänd som allmän princip med flera rättsregler som följd. Uppsatsen gör inget anspråk på att ha identifierat passivitetens fullständiga regelverk men ett antal möjliga tillämpningar av passivitet har identifieras och problematiseras.

Uppsatsen har fokuserar på de tre rättsregler som kunnat identifieras i Högsta domstolens senare praxis. Vad uppsatsen behandlar är försittande av talerätt, eftergift av avtalsvillkor och ändring av avtal. Dessa tre rättsregler har sedan analyserats kritiskt med hjälp av doktrin för att identifiera svagheter och möj-ligheter som finns för rättsområdet.

En övergripande slutsats är passivitetsprincipen inte är fullständigt utvecklad. Mycket av rättsutvecklingen är ny och har skett på kort tid, vilket naturligtvis ger upphov till luckor. Förhoppningen är således att Högsta domstolen är ge-nerös med sina prövningstillstånd i frågan framöver. (Less)

For many years, passivity has been a relatively minor figure in Swedish law. In later years however, the Supreme Court has rendered several verdicts concerning passivity, complaint, and statutes of limitation.

Recent precedents have transferred passivity from being considered part of complaint rules with limited legal impact into what is now considered more a principle of law, with several rules attained to it. This essay does not claim in any way to have explored the full content of such a principle, but the trans-formation of the passivity concept as well as some possible applications of passivity are identified and discussed from a critical point of view. Three rules derived from or affected by the passivity principle have been in focus for the essay; loss of legal standing, concession of contract terms and amendment of contracts. These rules have been analysed with the help of prominent Swedish scholars.

The essay concludes that passivity of a party, alone or together with other relevant circumstances, can imply a loss of legal standing or that contract terms are conceded or amended under Swedish law, but that the delimitations of passivity are not yet fully clear. Much of the legal development in this field has been done quite fast and recent in time, and additional precedents from the Supreme Court would be welcome to bring further clarity. (Less)
