Abstract (Swedish)
Denna uppsats utreder EU-domstolens senaste avgörande i C-106/22 Xella
och den nyligen ikraftträdda lagen (2023:560) om granskning av utländska
direktinvesteringar. Syftet är att såväl söka klargöra hur C-106/22 kan
påverka tillämpningen av granskningslagen, samt hur förhållandet till
säkerhetsskyddslagen (2018:580) ter sig. Detta görs utifrån en EU-rättslig och
rättsdogmatisk metod.

Regleringen av utländska direktinvesteringar genom EU-domstolens dom i
C-106/22 får en stor inverkan på den nationella granskningen genom att
exkludera möjligheten att granska en utländsk direktinvestering med yttersta

Denna uppsats utreder EU-domstolens senaste avgörande i C-106/22 Xella
och den nyligen ikraftträdda lagen (2023:560) om granskning av utländska
direktinvesteringar. Syftet är att såväl söka klargöra hur C-106/22 kan
påverka tillämpningen av granskningslagen, samt hur förhållandet till
säkerhetsskyddslagen (2018:580) ter sig. Detta görs utifrån en EU-rättslig och
rättsdogmatisk metod.

Regleringen av utländska direktinvesteringar genom EU-domstolens dom i
C-106/22 får en stor inverkan på den nationella granskningen genom att
exkludera möjligheten att granska en utländsk direktinvestering med yttersta
utländskt ägande. Genom avgörandet i C-106/22 ändras förhållningsramarna
för nationella granskningssystem som implementerat FDI-förordningen,
enligt vilken EU-domstolen nu har funnit att det strider mot
etableringsfriheten.

Granskningslagens ikraftträdande påverkar vidare förvärvsprocesser i stort
vad gäller såväl tidsplanering som avtalsregleringen mellan parterna, särskilt
eftersom en större andel verksamheter omfattas, och att det inte är helt klart
under vilka förhållanden som en investering eller ett förvärv kan begränsas.

Uppsatsen finner sammantaget att säkerhetsskyddslagen bör gälla parallellt,
då den inträder vid en annan tidpunkt i förvärvsprövningen, och att
olägenheterna inte överväger skyddet, särskilt efter C-106/22. Vidare anförs
även att granskningslagen bör justeras, särskilt med hänsyn till att det inte
fyller någon vidare effekt att ha kvar en rättsreglering som inte kommer att gå
igenom i praktiken. (Less)
Abstract
This thesis examines the latest CJEU judgement in C-106/22 Xella and the
new Act for Screening of Foreign Direct Investment (2023:560). The purpose
is to analyze and examine what potential effects the CJEU judgement in C106/22 can have on the effectiveness of the Act for Screening of Foreign
Direct Investment. This thesis further examines which challenges the new Act
for Screening of Foreign Direct Investment may have on company
acquisitions and if the dual Swedish Protective Security Act (2018:580)
should still occur dually with the new Act for Screening of Foreign Direct
Investment.

This thesis examines the latest CJEU judgement in C-106/22 Xella and the
new Act for Screening of Foreign Direct Investment (2023:560). The purpose
is to analyze and examine what potential effects the CJEU judgement in C106/22 can have on the effectiveness of the Act for Screening of Foreign
Direct Investment. This thesis further examines which challenges the new Act
for Screening of Foreign Direct Investment may have on company

This thesis finds that the CJEU in its judgement of C-106/22 excluded the
screening of companies which is a member of a group of companies with
residence in any Member State, even if a third undertaking has influence over
the company. The judgement will have a noticeable effect on the Act for
Screening of Foreign Direct Investment.

Further on, the new Act for screening of Foreign Direct Investment will have
a greater impact on the acquisition process, whereas many sectors are being
covered, whilst no answers can or will be provided.

Moreover, the thesis concludes that the Swedish Protective Security Act
should still operate dually with the new Act for Screening of Foreign Direct
Investment, and that the Act for screening of Foreign Direct Investment
should be amended after the CJEU judgement. (Less)
