I denna uppsats diskuteras det nya lagförslaget om beskattning av carried inte-rest. Carried interest utgörs av den asymmetriska vinstfördelningen som till-faller fondförvaltaren för både investerat kapital och för utfört arbete i de bo-lag som investeringarna sker i.

Den föreslagna regleringen innebär att beskattning ska ske enligt de så kallade 3:12-reglerna, vilket i korthet innebär att carried interest ska beskattas till viss del enligt inkomstslaget tjänst. Utöver möjligheterna att beskattas enligt 3:12-reglerna presenteras även vissa särskilda bestämmelser som gäller exklusivt för fondförvaltare som har rätt till carried interest. Den föreslagna regleringen innebär att beskattning ska ske enligt de så kallade 3:12-reglerna, vilket i korthet innebär att carried interest ska beskattas till viss del enligt inkomstslaget tjänst. Utöver möjligheterna att beskattas enligt 3:12-reglerna presenteras även vissa särskilda bestämmelser som gäller exklusivt för fondförvaltare som har rätt till carried interest. I korthet innebär de sär-skilda bestämmelserna att fondförvaltare som redan tillämpar 3:12-reglerna tvingas betala högre skatt än vad som gäller för övriga fåmansföretagare.

Den skatterättsliga likformighetsprincipen blir därför av intresse och innebär i korthet att lika skatt ska behandlas lika. Principen gäller framförallt inom rätts-tillämpningen, men även inom lagstiftarens verksamhet och ställer krav på sakliga och legitima överväganden vid särregleringar. Uppsatsen diskuterar därför lagförslaget och de resonemang som förs i ljuset av principen. Vissa resonemang saknar stöd i praxis och i andra hänseenden kan de anses strida mot kraven på legitima och sakliga överväganden som likformighetsprincipen ställer. (Less)

This thesis discusses the new legislative proposal concerning the taxation of carried interest. Carried interest refers to the asymmetric distribution of profits allocated to the fund manager, partly for invested capital and partly for work performed in the companies in which investments are made.

This thesis discusses the new legislative proposal concerning the taxation of carried interest. Carried interest refers to the asymmetric distribution of profits allocated to the fund manager, partly for invested capital and partly for work performed in the companies in which investments are made.

The proposed regulation stipulates that taxation shall be carried out in accord-ance with the so-called ´3:12 rules´, which in short means that carried interest is taxed partly as capital income and partly as earned income. In addition to the possibility of taxation under the 3:12 rules, the proposal also introduces cer-tain specific provisions that apply exclusively to fund managers entitled to carried interest. In essence, these special provisions imply that fund managers already applying the 3:12 rules will be subject to higher taxation than other closely held business owners.

The tax law principle of equality therefore of interest, requiring that similar taxation be treated equally. The principle primarily applies within legal adjudi-cation but also sets requirements on the legislator to ensure objective and legit-imate considerations when introducing special regulations. This thesis there-fore discusses the legislative proposal and the reasoning considering the equality principle. Certain arguments lack support in case law, while others may be deemed to contravene the requirements for legitimate and objective reasoning that the principle of equality demands. (Less)
