ÄTA och LOU - Om entreprenadrättsliga ändringar i upphandlade kontrakt

Abstract (Swedish)
I denna uppsats undersöks i vilken utsträckning upphandlande myndigheter enligt LOU kan genomföra entreprenadrättsliga ändrings-, tilläggs- och avgående arbeten (s.k. ÄTA-arbeten) inom ramen för redan upphandlade kontrakt. Frågeställningen aktualiseras särskilt av att ÄTA-begreppet enligt AB 04 är branschpraxis inom byggentreprenader, men inte nödvändigtvis överensstämmer med de krav som upphandlingsrättens ändringsklausuler kräver.

Uppsatsen utgår från de relevanta ändringsmöjligheter som finns i 17 kap. LOU (9, 10, 11, 12 och 14 §§), med fokus på 10 §. I denna uppsats undersöks i vilken utsträckning upphandlande myndigheter enligt LOU kan genomföra entreprenadrättsliga ändrings-, tilläggs- och avgående arbeten (s.k. ÄTA-arbeten) inom ramen för redan upphandlade kontrakt. Frågeställningen aktualiseras särskilt av att ÄTA-begreppet enligt AB 04 är branschpraxis inom byggentreprenader, men inte nödvändigtvis överensstämmer med de krav som upphandlingsrättens ändringsklausuler kräver.

Uppsatsen utgår från de relevanta ändringsmöjligheter som finns i 17 kap. LOU (9, 10, 11, 12 och 14 §§), med fokus på 10 §. Uppsatsen visar att ÄTA-begreppets generella utformning i AB 04, utan några tillägg eller specifikationer, sannolikt inte uppfyller kraven i 17 kap. 10 § om att ändringsklausuler ska vara klara, exakta och entydiga. Däremot erbjuder övriga undantagsregler i flera fall möjlighet att genomföra ÄTA-arbeten utan ny upphandling, särskilt om arbetet är av mindre värde, tekniskt nödvändigt eller föranlett av oförutsebara omständigheter.

Uppsatsen diskuterar även det praktiska spänningsförhållandet mellan upphandlingsrätt och entreprenadrätt, där upphandlande myndigheter sannolikt hanterar ÄTA-arbeten med en viss grad av upphandlingsrättsligt risktagande. Slutligen föreslås att tydligare vägledning i någon form, särskilt vid byggentreprenader, kan bidra till ett mer balanserat regelverk där både rättssäkerhet och praktisk flexibilitet beaktas. (Less)
Abstract
This thesis examines the extent to which contracting authorities, under the Swedish Public Procurement Act (LOU), may implement contractual changes, additions, and deductions (so called ÄTA works) within the scope of already awarded construction contracts. The issue is particularly relevant since the concept of ÄTA, as defined in the standard contract AB 04, is well-established in the construction industry but does not necessarily align with the requirements imposed by procurement law concerning modification clauses.

The analysis focuses on the legal grounds for modifications found in Chapter 17 of LOU, with primary emphasis on 10 § and supplementary provisions in 9, 11, 12, and 14 §§. The review shows that the general and unspecified... (More)
This thesis examines the extent to which contracting authorities, under the Swedish Public Procurement Act (LOU), may implement contractual changes, additions, and deductions (so called ÄTA works) within the scope of already awarded construction contracts. The issue is particularly relevant since the concept of ÄTA, as defined in the standard contract AB 04, is well-established in the construction industry but does not necessarily align with the requirements imposed by procurement law concerning modification clauses.

However, other exceptions provided in LOU may, under certain conditions, permit ÄTA works without the need for a new procurement, particularly if the change is of minor value, technically necessary, or caused by unforeseeable circumstances.

The thesis also addresses the practical tension between public procurement law and construction contract law, where contracting authorities may, in practice, engage in ÄTA works with a certain degree of procurement law risk taking. It is ultimately suggested that more explicit guidance particularly regarding construction contracts could contribute to a more balanced legal framework that respects both legal certainty and practical flexibility.
