I vilken utsträckning är det rimligt att friskriva sig från ansvar i ett kontraktsförhållande? Detta är en central fråga som behandlas i denna uppsats. Svaret på frågan är beroende av en strävan att upprätthålla en balans mellan å ena sidan principerna om pacta sunt servanda och avtalsfrihet, och behovet av att motverka oskälighet i avtalsförhållanden å andra sidan.

Svaret på frågan är beroende av en strävan att upprätthålla en balans mellan å ena sidan principerna om pacta sunt servanda och avtalsfrihet, och behovet av att motverka oskälighet i avtalsförhållanden å andra sidan.

Ett avgörande som skapat ny grogrund för diskussionen kring frågan om räckvidden av ansvarsbegränsningar i kommersiella avtal är en skiljedom som meddelades i december 2010 mellan företagen KPMG och Profilgruppen (”KPMG-domen”). Avgörandet resulterade i att den avtalade ansvarsbegränsningen jämkades med stöd av 36 § AvtL, då den enligt skiljenämnden bedömdes som oskälig. Skiljenämnden frångick den traditionella metoden, där man utgår från graden av vårdslöshet för att avgöra en ansvarsbegränsnings upprätthållande, för att istället göra en riskavvägning utifrån en helhetsbedömning. I sin oskälighetsbedömning vägde skiljenämnden uppdragstagarens befogade intresse av skydd mot huruvida en begränsning av risker hade kunnat åstadkommas på annat sätt, försäkringsförhållandena på bägge parternas sidor samt kontraktsbrottets karaktär.

Skiljedomen mellan KPMG och Profilgruppen har, enligt vad jag funnit, dels skapat nya förutsättningar för att avgöra var gränsen bör gå för hur långt parter i ett kommersiellt avtal tillåts begränsa sitt ansvar, dels tydliggör den hur 36 § AvtL kan tillämpas på ett avtal mellan kommersiella aktörer. Domen ger således vägledning i frågan om i vilken utsträckning det är rimligt att friskriva sig från ansvar i ett kontraktsförhållande.

Frågan om räckvidden av ansvarsbegränsningar är relevant i alla kommersiella avtal. En tjänst vars utbredning ökar är molntjänster, vilket är en form av IT-tjänst som tillhandahålls av en molnleverantör till företag via internet. De ofta långtgående friskrivningarna från ansvar i avtal om molntjänster medför att det finns ett behov av att undersöka rimligheten av ansvarsbegränsningar i denna typ av avtal. Detta har, med utgångspunkt i KPMG-domen, varit ytterligare en central diskussion i denna uppsats.

Mina slutsatser, i fråga om KPMG-domens tillämplighet i avtal om molntjänster, är att den riskavvägningsmetod som skiljenämnden tillämpade framstår som en lämplig lösning för att avgöra rimligheten av en ansvarsbegränsning i avtal om molntjänster. Detta då en riskavvägning borde leda till rimligare resultat för bägge parter än om graden av vårdslöshet får avgöra en ansvarsbegränsnings upprätthållande. I denna helhetsbedömning gäller, som utgångspunkt, att molnleverantören har ett befogat intresse av att begränsa sitt ansvar för omfattande skadeståndsanspråk. Detta måste dock vägas mot den omständigheten att kundens möjligheter att förutse de risker som en ansvarsbegränsning övervältrar på denne ofta begränsas. Således bör en oskälighetsbedömning framförallt påverkas av huruvida molnleverantören hade kunnat tydliggöra avtalets förutsättningar och begränsningar för att på så vis möjliggöra för kunden att vidta förebyggande skyddsåtgärder. To what extent is it reasonable to exclude one’s liability in a contractual relationship? This is a key issue addressed in this paper. The answer depends on a desire to maintain a balance between the principles of pacta sunt servanda and freedom of contract on one hand, and the need to counteract the unfairness of contractual relations on the other.

A ruling that has created new breeding ground for the discussion regarding the scope of limitation of liability in commercial contracts is an arbitral award that was announced in December 2010 between the companies KPMG and Profilgruppen. The arbitral tribunal found the agreed limitation of liability clause unreasonable under the § 36 of the Swedish Contracts Act. In its decision the tribunal departed from the traditional method of deciding the upholding of a limitation of liability clause, where the determination is based on the degree of negligence, and instead made an overall assessment balancing the contractual risks. In this assessment the contractor’s legitimate need of protection was weighed against whether a reduction of risks could have been achieved by other means, the insurance situation on both sides and the nature of the breach of contract.

The award between KPMG and Profilgruppen has created new conditions in order to determine the scope of limitation of liability in commercial contracts. Furthermore it clarifies how the § 36 of the Swedish Contracts Act can be applied to a contract between commercial parties. The ruling thus provides guidance on the question of the extent to which it is reasonable to exclude one’s liability in a contractual relationship.

The issue discussed is relevant to any type of commercial contract. A service whose usage is spreading amongst businesses is cloud computing, a form of IT-services delivered to businesses through a network. The fact that cloud contracts often contain extensive limitation of liability clauses entails the need of examining the reasonable scope of limiting one’s liability in this type of contractual agreement. Based on the principles set out in the ruling between KPMG and Profilgruppen this has been another central key issue discussed in this paper.

The method and principles set out by the arbitral tribunal of the KPMG-award appears to be, in my opinion, an appropriate solution to determine the reasonableness of a limitation of liability clause in contracts regarding cloud services. This mainly since an examination of the balancing of risks of the contract should lead to more reasonable results for both parties than if the decision of upholding such a clause is based on the degree of negligence. In the overall assessment of the allocation of risks between the parties one must take into account that the cloud service provider has a legitimate interest in limiting the responsibility for extensive damages. This must be weighed against the fact that the customer’s ability to anticipate the risks allocated to him, as a result of a limitation of liability clause, are often limited. Consequently, if the cloud provider has failed in clarifying the requirements and limitations of the mission stipulated in the contract this should affect the unfairness of a limitation of liability clause since this has an immediate impact on the client’s possibilities to take preventive measures.
