- Sedan den första januari 2013 gäller nya avdragsbegränsningsregler för aktiebolag för koncerninterna räntor inom svensk skatterätt. Som huvudregel nekas avdrag för räntor som löper på alla typer av skulder till ett annat bolag inom koncernen. Ett av undantagen till begränsningen är fall där skuldförhållandet är affärsmässigt motiverat enligt den så kallade ventilen.
Ventilen fick under lagens förberedning utstå kritik för att vara för vag och inte tillräckligt förutsebar. Det är ofta oklart vad begreppet affärsmässigt motiverat innebär och höga krav ställs därför på domstolen vid tolkningen av begreppet. Det är ofta oklart vad begreppet affärsmässigt motiverat innebär och höga krav ställs därför på domstolen vid tolkningen av begreppet. Detta arbete syftar till att klargöra vilka olika moment som kan vara avgörande för att ett skuldförhållande är affärsmässigt motiverat. Ur ett rättssäkerhetsperspektiv är det önskvärt att beskattning är förutsebar för den skatteskyldige så att samhällsekonomin fungerar effektivt.
Eftersom affärsmässigt inte är definierat i lagtext och i vissa sammanhang endast vagt förtydligat i förarbetena, är det svårt att på förhand dra några klara riktlinjer om vilka koncerninterna skuldförhållanden som är affärsmässigt motiverade. Olika tolkningsmetoder, objektiv tolkning enligt lagens ordalydelse och subjektiv tolkning enligt lagens syfte, leder i viss mån till att olika tolkningsresultat uppnås. Vissa författare hävdar att begreppet inkluderar skattemässiga överväganden trots att detta uttryckligen går emot syftet med lagstiftningen. Det är även tveksamt vad som ska räknas som affärsmässig ränta samt i vilken mån låntagaren behöver uppfylla ett legitimt behov med antagandet av lånet.
I väntan på klargörande praxis från Högsta förvaltningsdomstolen är rättsläget oklart. Den nya lagstiftningens rättssäkerhet går därmed att ifrågasätta. (Less) - Abstract

In general, deduction of interest on inter corporate loans are from now on denied regardless what the loan is used to. As an exception interests on loans justified mainly by business reasons will still be granted deduction. This exception is called the valve (Swedish: ventilen).
In the law pass of the new regulation the valve was criticised for being too vague and not being predictable enough. How to interpret the term business reasons is in many areas unclear and the term leaves a lot for the court to assess whether a loan is justified or not. From a legal perspective it is desirable that taxation is predictable for the taxpayer in order for the economic system to work efficiently.
The term business purpose is not defined in the legislation and only partly clarified in the legislative history of the provision. Because of that it is difficult to draw any guidelines for when a loan is justified for its business purpose in advance. The interpretation methods, objective interpretation and subjective interpretation, sometimes lead to various results interpreting the same matter. Some authors claim that the term business reasons include tax consideration although the purpose of the legislation provides otherwise. It is also in some cases questionable to which degree loans have to be set to market conditions and to which extent loans have to fulfil a legitimate need of funding in the borrowing company.
While awaiting clarifying practice from the Supreme Administrative Court, the legal position is unclear. If the new provision is legally secure is therefore questionable (Less)
