Enligt svensk rätt krävs det att parterna till en transaktion har vidtagit ett sakrättsligt moment för att en förvärvare av lös egendom ska vara skyddad mot överlåtarens borgenärer. Vilket sakrättsligt moment som uppställs varierar beroende på vilken typ av egendom som transaktionen rör. Vid förvärv av lösöre vinner köparen som huvudregel skydd mot säljarens borgenärer först när varan har överlämnats – traderats – till köparen. Vid förvärv av lösöre vinner köparen som huvudregel skydd mot säljarens borgenärer först när varan har överlämnats – traderats – till köparen. Kravet på besittningsövergång följer av den s.k. traditionsprincipen som trots avsaknad av uttryckligt lagstöd utgjort gällande rätt i cirka 100 års tid. Traditionsprincipens tillämpningsområde är vidsträckt men tillämpas inte fullständigt inom den svenska sakrätten. Vid b.la. konsumentköp gäller istället avtalsprincipen. Avtalsprincipen innebär att en förvärvare vinner sakrättsligt skydd mot överlåtarens borgenärer redan genom avtalet.
Tillämpningen av traditionsprincipen har under de senaste åren varit en omdebatterad fråga inom doktrinen. Regeringen har bl.a. av denna anledning tillsatt Lösöreköpskommittén, som ska utreda om en generell övergång till avtalsprincipen är önskvärd.
Uppsatsen har för avsikt att utreda och besvara samma fråga som Lösöreköpskommittén har att ta ställning till; nämligen om en generell övergång till avtalsprincipen vid köp av lösöre är önskvärd.
Efter en beskrivning av den historiska bakgrunden, av gällande rätt och en diskussion kring de för- och nackdelar som bär upp traditionsprincipen är min slutsats att traditionsprincipen bör ersättas med avtalsprincipen. Huvudskälen för mitt ställningstagande är att risken för borgenärsbedrägerier säkerställs genom annan lagstiftning, att en övergång överensstämmer med allmänhetens rättsuppfattning i frågan, att affärstransaktioner kan genomföras på ett naturligare sätt och att en harmonisering sker med flertalet europeiska länders lagstiftning.
En generell övergång till avtalsprincipen vid köp av lösöre aktualiserar vissa följdfrågor. Slutsatsen beträffande dessa är att det inte behöver ske någon mer omfattande förändring i aktuell lagstiftning för att möjliggöra en implementering av avtalsprincipen. Tänkbara följdändringar är att tillämpa ett förhöjt krav på individualisering av varor vid köp mellan näringsidkare och att införa ett nytt pantsättningsregister. (Less) - Abstract

Swedish law requires that the parties to a transaction have fulfilled a controllable measure in order for a buyer of movable property to obtain protection against the seller’s creditors. What kind of controllable measure that needs to be carried out varies depending on what type of property the transaction concerns. When the purchase concerns chattels the main rule is that the buyer receives protection against the seller’s creditors only after the goods have been handed over – traded – to the buyer. The requirement of a transfer of possession follows from the principle of tradition (traditionsprincipen) that despite the absence of a specific legal basis has constituted applicable law for over 100 years. Swedish law requires that the parties to a transaction have fulfilled a controllable measure in order for a buyer of movable property to obtain protection against the seller’s creditors. What kind of controllable measure that needs to be carried out varies depending on what type of property the transaction concerns. When the purchase concerns chattels the main rule is that the buyer receives protection against the seller’s creditors only after the goods have been handed over – traded – to the buyer. The requirement of a transfer of possession follows from the principle of tradition (traditionsprincipen) that despite the absence of a specific legal basis has constituted applicable law for over 100 years. The principle of tradition has the effect that the seller’s creditors, in case of bankruptcy or seizure of goods, can claim goods that has not been traded. The principle of traditions scope is widespread but the principle is not applied exhaustively in Swedish law. For example in consumer purchases the principle of a valid agreement (avtalsprincipen) applies instead of the principle of tradition. The principle of a valid agreement has the effect that a buyer wins protection against the seller’s creditors through the contract.
The application of the principle of tradition has been a much-debated question in the doctrine during the last few years. As a consequence of this debate the government has appointed an inquiry by the name of Lösöreköpskommittén that shall investigate if a general transition to the principle of a valid agreement is desirable.
The thesis intention is to investigate and to respond to the same question as Lösöreköpskommittén has to consider; namely if a general transition to the principle of a valid agreement when trading with chattels is desirable.
After an examination of the historical background, the current law and the pros and cons that supports the principle of tradition, my conclusion is that the principle shall be replaced by the principle of a valid agreement. The main reason for my conclusion is that the risk for fraudulent behaviour is assured by other legislation, that a transition is consistent with the public opinion in the matter, that commercial transactions can be conducted in a more natural way and that a harmonization will occur with the majority of the European countries’ legislation.
A general transition to the principle of a valid agreement regarding the purchase of chattels will raise some follow-up questions. The thesis conclusion regarding these questions is that there is no need for any extensive change in the existing legislation. Some possible consequential amendments are to apply regarding an increased demand for individualization of goods between business operators and the introduction of a new register for pledges. (Less)
