- Denna uppsats undersöker mutual funds i USA och dess svenska motsvarighet värdepappersfonden. Förutom att jämföra de två fondtyperna är uppsatsens syfte att analysera huruvida mutual funds och värdepappersfonder överensstämmer ur en organisatorisk synpunkt. I USA organiseras mutual funds som truster och regleras av federal, statlig och common law för både mutual funds och truster. I Sverige saknas trusten som rättsfigur. När värdepappersfonder reglerades i lag på sjuttiotalet försökte lagstiftaren att efterlikna trust-formen hos mutual funds. Frågan som uppstår är i vilken utsträckning värdepappersfonder kan anses vara en civilrättslig motsvarighet till trusten. - Denna uppsats undersöker mutual funds i USA och dess svenska motsvarighet värdepappersfonden. Förutom att jämföra de två fondtyperna är uppsatsens syfte att analysera huruvida mutual funds och värdepappersfonder överensstämmer ur en organisatorisk synpunkt. I USA organiseras mutual funds som truster och regleras av federal, statlig och common law för både mutual funds och truster. I Sverige saknas trusten som rättsfigur. När värdepappersfonder reglerades i lag på sjuttiotalet försökte lagstiftaren att efterlikna trust-formen hos mutual funds. Frågan som uppstår är i vilken utsträckning värdepappersfonder kan anses vara en civilrättslig motsvarighet till trusten. Genom att använda i den komparativa rätten etablerade kriterier för vad som utgör en trust undersöks olika aspekter av värdepappersfonder för att avgöra om värdepappersfonder verkligen utgör truster. Uppsatsen fokuserar på de sysslomannaliknande skyldigheter som anses vara trustens kärnegenskap.
Uppsatsens slutsats är det finns stora likheter mellan såväl de sysslomannaliknande skyldigheterna i truster och värdepappersfonder som mellan de två rättsinstituten. Det är författarens uppfattning att värdepappersfonder i stor utsträckning motsvarar en trust sett till de kärnegenskaper som undersöks. Däremot är det inte självklart att likheterna medför att värdepappersfonden kan anses utgöra en trustanalog. Det är diskutabelt om och i vilken utsträckning alla kriterier för truster kan anses vara uppfyllda av värdepappersfonder. Vidare så är värdepappersfondernas tillämpningsområde begränsat till användning som fonder. Trusten har ett betydligt bredare användningsområde, kännetecknat av stor flexibilitet. Mot bakgrund av detta fastslår uppsatsen att värdepappersfonder inte utgör en äkta trustanalog. Snarare utgör värdepappersfonder en rättsfigur med trustliknande drag. (Less) - Abstract
- This paper examines mutual funds in the U.S. and its Swedish equivalent, värdepappersfonder. The aim of the paper is not only to compare the two funds, but also to analyze whether mutual funds and värdepappersfonder correspond from an organizational point of view. In the US mutual funds are organized as trusts and governed by the federal, state and common law concerning both mutual funds and trusts. In Swedish law there is no such thing as a proper trust. However, when värdepappersfonder were regulated by statute in the 1970’s, the legislator sought to mimic the trust form of the mutual fund. - This paper examines mutual funds in the U.S. and its Swedish equivalent, värdepappersfonder. The aim of the paper is not only to compare the two funds, but also to analyze whether mutual funds and värdepappersfonder correspond from an organizational point of view. However, when värdepappersfonder were regulated by statute in the 1970’s, the legislator sought to mimic the trust form of the mutual fund. The question that arises is whether värdepappersfonder can be considered a true civil law analog to the trust. Using criteria established in comparative law, different aspects of värdepappersfonder are examined to see whether värdepappersfonder indeed are trusts in disguise. The paper particularly examines the core aspect of trusts, fiduciary duties.
The conclusion is that there is a great deal of coherence between both the fiduciary duties inherent in trusts and värdepappersfonder and between the two legal institutes. In the opinion of the author, värdepappersfonder indeed emulates many of the core aspects of the trust that are examined. However, this does not mean that the värdepappersfond is to be considered a true trust analog. It is questionable if, and to what extent, all criteria are fulfilled. Furthermore, the area of application for a värdepappersfond is restricted to use it as a fund, while the trust is characterized by great flexibility and a wide scope of use. Against this background, the paper concludes by stating that värdepappersfonder are not to be considered a true trust analog, but a legal figure with trust-like features. (Less)
