Abstract
In this paper I have chosen to examine how financial leasing works in Scandinavian national law, i.e. in Sweden, Denmark and Norway. In addition I have also chosen to examine how UNIDROIT, an organization for international harmonization of private and property law, wanted the law to be through their convention and model law. Due to time and length constraints this paper only discusses property law and the law of obligations and leaves other facets of law aside.

In this paper I have chosen to examine how financial leasing works in Scandinavian national law, i.e. in Sweden, Denmark and Norway. Due to time and length constraints this paper only discusses property law and the law of obligations and leaves other facets of law aside.

Financial leasing is a method for financing used by companies around the world. It has some similarities to the traditional lease but there are important differences. In financial leasing there is often spoken about a three way relationship as a contrast to the more usual two way. The three way relationship is important in financial leasing to make the rights and responsibilities for the contracting parties work. In the relationship between the lessor, lessee and supplier the rights and responsibilities needs to be coordinated so the leasing agreement can function satisfactory. There exists in none of the examined states any explicit statutory regulation on financial leasing (though there are some regulations concerning what financial leasing can’t be). Instead the law develops through standard contracts and optional contract law.

The three examined states have all transplanted the American phenomenon financial leasing and remade it into a form that their respective law traditions allow. Therefore, there are some areas where the legal situation differs between states. In summary Sweden and Denmark are similar in contract law and Denmark and Norway in property law. (Less)

På grund av tids- och längdbegränsning behandlar uppsatsen enbart sak- och obligationsrätten och lämnar andra rättsområden utanför.

Finansiell leasing är en finansieringsmetod som används av företag runt om i världen. Den har vissa likheter med det traditionella hyresavtalet men det finns flera viktiga skillnader. Inom den finansiella leasingen talas det ofta om ett trepartsförhållande som kontrast till det vanligare tvåpartsförhållandet. I trepartsförhållandet måste rättigheter och skyldigheter mellan leasetagaren, leasegivaren och leverantören samordnas så att avtalet fungerar tillfredställande. Det finns i de undersökta länderna inte någon egentlig lagfäst reglering (förutom lagar som beskriver vad finansiell leasing inte är). Istället är det den dispositiva avtalsrätten och standardkontrakt som styr rättsutvecklingen.

De tre undersökta staterna har alla transplanterat den amerikanska företeelsen finansiell leasing och gjort om den efter vad de nationella traditionerna ansåg lämpligt. Det finns därför vissa delar där rättsläget skiljer sig mellan staterna. Sammanfattningsvis liknar Sverige och Danmark varandra obligationsrättsligt och Danmark och Norge varandra sakrättsligt.
