Offentliga upphandlingar utgör en stor del av de svenska och europeiska marknaderna och har sedan länge varit föremål för reglering som bland annat ska minska risken för korruption och säkerställa ett effektivt utnyttjande av offentliga medel. Sedan Sveriges tillträde i Europeiska ekonomiska samarbetsområdet 1992 har upphandlingsreglerna utgått från dem som framarbetats av Europeiska unionen. Det finns ett stort intresse av att offentliga upphandlingar går rätt till och att reglerna följs. Regelverket upplevs dock ofta som svårt att tolka och applicera av dem som är skyldiga att följa reglerna.

Offentliga upphandlingar utgör en stor del av de svenska och europeiska marknaderna och har sedan länge varit föremål för reglering som bland annat ska minska risken för korruption och säkerställa ett effektivt utnyttjande av offentliga medel. Sedan Sveriges tillträde i Europeiska ekonomiska samarbetsområdet 1992 har upphandlingsreglerna utgått från dem som framarbetats av Europeiska unionen. Det finns ett stort intresse av att offentliga upphandlingar går rätt till och att reglerna följs. Regelverket upplevs dock ofta som svårt att tolka och applicera av dem som är skyldiga att följa reglerna.

Syftet med uppsatsen är att presentera gällande rätt på både unionsnivå och i den svenska lagstiftningen, för att därefter gå vidare till hur de svenska domstolarna tolkat och tillämpat dessa regler i förhållande till den övergripande frågeställningen om hur utrymmet ser ut för en upphandlande myndighet att göra förändringar av upphandlingsdokumenten under anbudstiden. Detta har lämnats oreglerat av lagstiftaren på både unionsnivå och nationell nivå, vilket innebär att det är de grundläggande principerna som är vägledande för varje enskild bedömning.

Termen förfrågningsunderlag används inte uttryckligen längre i vare sig lagstiftningen eller direktivet utan ingår i det större begreppet upphandlingsdokument, som omfattar en vidare mängd dokument som förekommer i offentliga upphandlingar. De dokument som tidigare samlades i förfrågningsunderlaget är dock fortfarande de mest centrala dokumenten i en upphandling och utgör ramen och underlaget för hela upphandlingen.

Som kommer att framgå ligger fokus vid bedömningen på vad för påverkan på potentiella leverantörers vilja att lämna anbud som ändringen hade, både i svenska domstolar och EU-domstolen. (Less)

Public procurement constitutes a large part of Swedish and European markets and has since long been subject to regulation in order to, inter alia, decrease the risk of corruption and securing an effective use of public means. Since Sweden’s entry to the European Economic Area in 1992, existing rules of public procurement have originated from the rules drafted by the European Union. There exists a substantial interest of public procurements being conducted properly and according to the rules. The framework is however often regarded as difficult to interpret and apply for those who are obliged to follow the rules.

Public procurement constitutes a large part of Swedish and European markets and has since long been subject to regulation in order to, inter alia, decrease the risk of corruption and securing an effective use of public means. Since Sweden’s entry to the European Economic Area in 1992, existing rules of public procurement have originated from the rules drafted by the European Union. There exists a substantial interest of public procurements being conducted properly and according to the rules. The framework is however often regarded as difficult to interpret and apply for those who are obliged to follow the rules.

The purpose of this essay is to present established right on a union level as well as the Swedish rules and thereafter examine how the Swedish courts have interpreted and applied these rules in relation to the main question of this essay of which modifications a contracting authority can make of procurement documents during the time for receiving tenders.
This area has been left unregulated by both the European union and the Swedish legislator, thus the general principles are of guidance for every case.

In the new directive and in the new Swedish law on procurement, the term ‘procurement document’ has been introduced as a replacement for what was previously covered under the term ‘tender documents’. The new term is also wider than its predecessor, covering all other documents related to public procurements. Those documents which were previously covered by the tender documents are still, however, the most central documents for the procurement, constituting both the frame and the foundation for the entire procurement.

As will be shown, focus of the assessment in both Swedish courts and the Court of Justice of the European Union is on what influence the modification might have had on potential tenderers’ will to submit a tender. (Less)
