- Representationskompetensen hos den verkställande direktören i svenska aktiebolag regleras genom 8 kap. 36 § ABL och därigenom rekvisitet ”löpande förvaltning” i 8 kap. 29 § ABL. Vad denna löpande förvaltning omfattar är dock inte helt tydligt och kan variera kraftigt mellan olika typer av bolag och situationer. Detta kan skapa såväl praktiska som juridiska problem för både bolag och den verkställande direktören personligen. Dessa problem kan vara såväl i form av effektivitetsförluster som eventuella rättstvister. I denna uppsats är därför målet att med utgångspunkt från gällande rättsläge kartlägga och analysera den löpande förvaltningen och vad den i praktiken kan betyda och ge uttryck för. Detta görs på både ett teoretiskt och praktiskt plan genom en allmän analys och ett antal fiktiva typfall som beskrivs och analyseras. Slutsatsen är att det finns ett värde i att den löpande förvaltningen i juridisk mening hålls relativt brett reglerad för att bli tillämplig för en komplex serie av scenarier. Detta samtidigt som rättspraxis, sedvana och bolagsorgans direktiv behöver ges större utrymme inom associationsrätten. Detta för att kunna göra gränsdragningar och ge klarhet för hur den verkställande direktören får agera utan negativa rättsföljder. (Less)

- The legal capacity for Chief Executive Officers (CEO) in Swedish corporations is regulated through the legal condition “everyday operations” in Chapter 8, 36 § of the Swedish Companies Act of 2005. What is meant with “everyday operations” is not completely clear and can vary massively between different kinds of companies and situations. What is meant with “everyday operations” is not completely clear and can vary massively between different kinds of companies and situations. This may cause problems from both a practical and a jurisdictional point of view for the companies and for CEO:s in person. Examples of problems that may occur are efficiency losses and possible litigations. This paper tries to use the current state of law to map and analyze the “everyday operations” and what it means in practice. This is done in both a theoretical and practical way through a general analysis and a number of fictive scenarios. The conclusion is that there exists a value to keep the “everyday operations” relatively legally undefined for it to be applicable on a complex array of different scenarios. But this also means that case-law, customs and internal directives need to get larger space in company law to allow for clear definitions for how the CEO can act legally without any negative legal consequences.
