Abstract
This paper deals with future commitments to transfer immovable property and especially compensation clauses connected to the commitment. Future commitments to transfer immovable property has no legal effect, a party can not enforce transfer. Nor can a party be required to pay damages. A party that wants to put pressure on its counterpart can induce a special commitment to replace possible damages.

Such a special commitment could be expressed in different ways. An alternative is a down payment agreement. This paper deals with future commitments to transfer immovable property and especially compensation clauses connected to the commitment. Future commitments to transfer immovable property has no legal effect, a party can not enforce transfer. Nor can a party be required to pay damages. A party that wants to put pressure on its counterpart can induce a special commitment to replace possible damages.

Such a special commitment could be expressed in different ways. An alternative is a down payment agreement. In most cases, the intended buyer pays the payment before any binding purchase agreement is concluded. Should the buyer later refrain to conclude the agreement, the idea is that the seller should be able to claim the payment as compensation for the failure to conclude the agreement. Another alternative that could be used is that a penalty clause will be attached to the commitment agreement. If the agreement is not concluded, the penalty clause must be paid. The difference here is that the compensation will not be paid until a party does not perform according to the commitment. In order to investigate what applies regarding down payment agreements and penalty clauses, some case law and also doctrine will be presented.

Compensation clauses are usually accessory by nature. This means that if the main obligation is invalid, the compensation clause will also be invalid. The reasons for compensation clauses being valid when used in connection with an invalid commitment to transfer immovable property will therefore also be discussed and problematized.

A central rule regarding the transfer of immovable property is the Swedish land code, chapter 4, section 1. The formal requirement is often stated as the reason why future commitments regard immovable property can not be claimed. To authorize such agreements is said to hollow out the formal requirement. The formal requirement will therefore also be considered in the paper, and also be the subject of a de lege ferenda discussion.

In addition, a special discussion will be held regarding commercial parties. It seems like commercial parties sometimes try to create options in different ways. The question is whether it is justified to maintain the same order for commercial parties as for private actors. Mainly because one of the main reasons for not accepting future commitments regarding immovable property is that transfer must take place after mature consideration and that immovable property is considered to be a particular important asset. It is doubtful if this reason could be considered to be valid regarding transactions between commercial parties. (Less)

Denna uppsats behandlar framtida utfästelser att överlåta fast egendom och i synnerhet ersättningsklausuler som kopplats till utfästelsen. Som huvudregel kan heller inte en part som drar sig ur åläggas att betala skadestånd. Ett annat alternativ som kan användas är att det till utfästelsen kopplas en vitesklausul som ska utfalla för det fall avtal eller kommer till stånd. Skillnaden här är att ersättning inte utgår förens det står klart att part inte kommer prestera enligt utfästelsen. För att utreda vad som gäller för handpenningsavtal och vitesklausuler kommer i uppsatsen rättspraxis och även litteratur att presenteras.

Ersättningsklausuler är som utgångspunkt accessoriska till huvudförpliktelsen. Det innebär att om huvudförpliktelsen ogiltig är även ersättningsklausulen det. Varför ersättningsklausuler är giltiga när de är kopplade till ogiltiga utfästelser om att i framtiden överlåta fast egendom kommer därför också diskuteras och problematiseras.

En för uppsatsen central bestämmelse vad gäller överlåtelser av fast egendom är 4 kap 1 § jordabalken (1970:994), vilket ger uttryck för formkravet. Det strikta formkravet anges ofta som en anledning till varför framtida utfästelser att överlåta fast egendom inte kan göras gällande. Att tillåta sådana avtal kan anses urholka formkravet. Formkravet kommer därför också att behandlas i uppsatsen, och kommer vara föremål för en de lege ferenda diskussion.

Vidare kommer även en särskild diskussion vad gäller kommersiella parter att föras. Det finns stöd för att kommersiella parter i praktiken försöker tillskapa optioner på varierande vis. En fråga som uppstår är om det verkligen kan anses motiverat att upprätthålla samma ordning för kommersiella parter som för privata aktörer. Ett av de främsta skälen till att framtida utfästelser inte är accepterat vad avser fast egendom är att en sådan överlåtelse ska ske efter moget övervägande. Det får anses tveksamt om dessa skäl kan tillmätas jämförlig betydelse när det gäller kommersiella parter. (Less)
