Passivitetsverkningar i entreprenadförhållanden - med fokus på aktivitetsplikter i AB 04

Denna uppsats har som syfte att utreda hur de allmänna kontraktsrättsliga passivitetsprinciperna som har utvecklats genom doktrin och prejudikat kan påverka det entreprenadrättsliga avtalsförhållandet som uppstår genom AB 04, med fokus på de underrättelse-, reklamations- och preskriptionsregler som finns däri.

Uppsatsen inleds med en redogörelse för hur passivitet i avtalsförhållanden med utgångspunkt i doktrin och studier som behandlar ämnet. En genomgång av de passivitetsverkningar som kan uppstå görs med fokus på passivitet som rättshandling och som självständigt rättsfaktum. Denna uppsats har som syfte att utreda hur de allmänna kontraktsrättsliga passivitetsprinciperna som har utvecklats genom doktrin och prejudikat kan påverka det entreprenadrättsliga avtalsförhållandet som uppstår genom AB 04, med fokus på de underrättelse-, reklamations- och preskriptionsregler som finns däri.

Uppsatsen inleds med en redogörelse för hur passivitet i avtalsförhållanden med utgångspunkt i doktrin och studier som behandlar ämnet. En genomgång av de passivitetsverkningar som kan uppstå görs med fokus på passivitet som rättshandling och som självständigt rättsfaktum. Att passivitet kan ge verkningar såsom en allmän rättsprincip är idag känt. Vidare är passivitet ofta sammanhängande med en allmän lojalitetsplikt vilket också redogörs för.

Sedan följer en kort genomgång av den svenska entreprenadrätten och hur tolkning av AB 04 kan ske. Praxis visar på att dispositiv rätt kan användas för att tolka eller fylla ut de avtalsvillkor som finns i AB 04, vilket öppnar upp för att passivitetsrättsliga principer ska kunna tillämpas. Det näst sista kapitlet består av en praxisgenomgång av de relevanta fall som tydligt visar på att HD tillämpar olika passivitetsrättsliga principer. NJA 2002 s. 630 är framför allt av vikt då HD i det fallet utformade tre allmänna passivitetsprinciper som ofta återkommer i senare praxis.

I uppsatsens avslutande analys diskuteras de aktivitetsplikter som redogjorts för och dess kompatibilitet med de allmänna passivitetsprinciperna. Då AB 04 reglerar många olika situationer och ofta i detalj kan det bli svårt att hitta tillfällen då avtalsvillkoren kan komma att fyllas ut eller tolkas i ljuset av allmänna passivitetsprinciper. Däremot finns det inget hinder för att en sådan utfyllnad eller tolkning kan ske. (Less)
Abstract
The purpose of this thesis is to analyze how the general contractual principles of passivity, which have developed through the legal doctrine and case law, may impact the contractual relationship between the contractor and the client, based on the contractual standard term AB 04. The thesis will focus on the notifications, claims and time limitations regulated within AB 04.

The thesis will initially describe the legal doctrine with respect to passivity in a contractual relationship. The thesis will then continue with a review of the effects that can result from passivity with focus on passivity as a legal act and passivity as an independent dispositive fact. The purpose of this thesis is to analyze how the general contractual principles of passivity, which have developed through the legal doctrine and case law, may impact the contractual relationship between the contractor and the client, based on the contractual standard term AB 04. The thesis will focus on the notifications, claims and time limitations regulated within AB 04.

The thesis will initially describe the legal doctrine with respect to passivity in a contractual relationship. The thesis will then continue with a review of the effects that can result from passivity with focus on passivity as a legal act and passivity as an independent dispositive fact. It is a generally acknowledged legal principle that passivity can result in a legal effect, such as a loss of contractual rights. The thesis will further describe in what manner passivity is connected to a general duty of loyalty.

The thesis will then present an overview of Swedish construction law and how AB 04 can be interpreted. According to case law, optional law can be used for interpretation or completion of the terms in AB 04, which allows for the application of the general principles of passivity. Following this is a review of the most relevant case law in relation to this topic, which clearly indicates that the Supreme Court apply different principles of passivity. A significant case is NJA 2002 s. 630 through which the Supreme Court defines three different forms of passivity which has subsequently been referred to in later case law.

The final chapter contains an analysis of the duty of actions and their compatibility with the general principles of passivity. As AB 04 regulates, often in detail, numerous different situations it may be difficult to identify events when the terms and conditions can to be completed or interpreted applying the general principles of passivity. However, there is no impediment as such to apply these principles. (Less)
