Tidig varning - lärdomar från utländska system inför en svensk implementering av direktiv (EU) 2019/1023 om förebyggande företagsrekonstruktioner

Inom företagsvärlden är det inte ovanligt att ekonomiska bekymmer uppstår. När ett företag blir insolvent kan det leda till en rad olika utgångar. Det kan leda till konkurs och avveckling av företag men det kan också leda till en företagsrekonstruktion och en ny chans för ett företag fortsätta driva sitt företag. Ett problem har varit att många företagsrekonstruktioner fallerar då de har inletts för sent. Kan ekonomiska problem upptäckas tidigare kan bättre möjligheter ges för en lyckad företagsrekonstruktion och kan till och med undvikas. Inom företagsvärlden är det inte ovanligt att ekonomiska bekymmer uppstår. När ett företag blir insolvent kan det leda till en rad olika utgångar. Det kan leda till konkurs och avveckling av företag men det kan också leda till en företagsrekonstruktion och en ny chans för ett företag fortsätta driva sitt företag. Ett problem har varit att många företagsrekonstruktioner fallerar då de har inletts för sent. Kan ekonomiska problem upptäckas tidigare kan bättre möjligheter ges för en lyckad företagsrekonstruktion och kan till och med undvikas. Därav har EU i direktiv (EU) 2019/1023 försökt reglera ett inrättande av system om tidig varning i varje medlemsstat. Syftet i uppsatsen är att undersöka vad begreppet tidig varning innebär och se till vilka lärdomar som är mest väsentliga till ett svenskt system. En kasuistisk metod används för att kunna jämföra och använda sig av de utländska systemen om tidig varning, för att se hur ett system i Sverige kan se ut. Materialet har i huvudsak bestått av direktivet, den svenska utredningen av dess implementering i SOU 2021:12 och de utländska systemen om tidig varning. Utöver det har remissyttranden och rapporter legat till grund för reflektioner om hur företagsrådgivning har fungerat i Sverige. Materialet har visat att Sverige redan uppfyller de krav om tidig varning som EU ställer på en medlemsstat. I ett fungerande system om tidig varning visar det sig att kompetent företagsrådgivning är nödvändig för att kunna hjälpa företag i kris. Hjälpen ska vara rikstäckande och kan ta hjälp av privata aktörer för att kunna säkerställa att den nödvändiga kompetensen finns tillgänglig. Medlemsstater som har kunnat samarbeta med berörda parter som myndigheter som skattemyndigheter, banker och andra intressenter har visat på positiva effekter av att kunna upptäcka problem i tid. Varningsmekanismer via myndigheter är betydelsefulla då staten i en övervägande majoritet är fordringsägare till företag i kris. Fokus ligger också på mikroföretag, små och medelstora företag då dessa är i en särskild utsatt situation. Mindre företag saknar i en större utsträckning resurser eller möjligheten att skaffa sig den kompetens som är nödvändigt för att ta sig ur ekonomiska kriser. Det utgör däremot inget hinder att andra företag också kan få begränsad hjälp av ett nationellt system. Ju tidigare problem kan upptäckas desto bättre möjligheter finns det till att kunna förebygga insolvens och till att företagsrekonstruktioner kan få lyckliga slut. Desto tidigare problem kan upptäckas ju fler företag kan fortsätta vara livskraftiga och fler arbetstillfällen kan räddas. (Less)

It can result in bankruptcy and liquidation of a business, but it may also result in a corporate restructuring and a new opportunity for a company to continue its business. A problem has been that many corporate restructurings fail due to being initiated too late. If economical problems can be discovered early, the better opportunities there are for a successful corporate restructuring and can even be avoided completely. Therefore, in the directive (EU) 2019/1023, EU has tried to regulate an introduction of a system of early warning in each member state. The purpose in this essay has been to investigate what early warning is and see to the most valuable aspects of what a Swedish system may include. The method used is a comparative method used to study the foreign organisations’ work with early warning. Mainly the material used in this essay are the directive and the Swedish investigation of its implementation, SOU 2021:12 together with the systems of early warning abroad. Furthermore, consultation responses from the investigation about how business consulting have worked in Sweden is being used as a basis for reflection. It has been shown that Sweden already fulfills the requirements that EU dictates about an early warning system. In a functional system of early warning it shows that competent business consulting is a necessity to help businesses in need. The help should be available across the whole country and should take help from private actors to make sure the required help is available. Member states that have had systems where they work closely with for example tax authorities, banks and other stakeholders, have shown positive results regarding discovering financial issues in time. Warning mechanisms from public authorities are a necessity since the state is often a creditor to businesses in need. Focus should be on micro, small and medium seized businesses since these are in a particular vulnerable situation. These businesses often lack the resources and the means to acquire the necessary help to avoid financial turmoil. This reason should, however, not exclude that other businesses can receive limited help from a national system. The earlier problems of a financial nature can be discovered, the better are the chances to prevent insolvency and to those corporate restructuring can be successful. The earlier a financial problem can be discovered, the more companies can continue its business and the more jobs can be saved. (Less)
