Skadeståndsrättsliga konsekvenser vid arbetstagares obehöriga angrepp på företagshemligheter

- Företagshemlig information står för stora värden inom bolag - ett rättsligt skydd av sådan information är centralt för att främja företags möjligheter att investera i innovation och konkurrera på marknaden. Mot bakgrund av angelägna skillnader i medlemsstaternas lagstiftning beträffande skydd för företagshemligheter antog EU-parlamentet 2016 ett direktiv. Sverige hade sedan 1990 en lag på området men för att genomföra direktivet utarbetades en ny lag som trädde i kraft 2018. Den nya lagen innehåller flera likheter med den tidigare gällande lagen, samtidigt som direktivet medfört betydande skillnader.

I början av 2021 kom Arbetsdomstolen med det första rättsfallet som prövar ett skadeståndsyrkande med stöd av 2018-års lag. Uppsatsen syftar därför till att utreda de skadeståndsrättsliga konsekvenserna vid en arbetstagares obehöriga angrepp av företagshemligheter. Uppsatsens syfte nödvändiggör vetskap om innehållet i gällande rätt avseende vad som utgör en företagshemlighet, när en sådan har angripits och vilka de skadeståndsrättsliga konsekvenserna av ett angrepp är. Rättskällor tillhörande 2018 års lag ger en begränsad vägledning för besvarande av uppsatsens frågeställningar. direktivet, dess förarbeten och ingress samt förarbeten, praxis och doktrin tillhörande den tidigare gällande lagen är därför av betydelse för utredningen.
För arbetsgivare ställer den nya lagen högre krav på aktiva åtgärder och tydlighet gällande vad som utgör företagshemligheter. Precis som i den tidigare lagen utgör yrkesskicklighet och erfarenhet företagshemligheter. En större förändring som den nya lagen medfört för arbetstagare är att denne under vissa omständigheter kan bli skadeståndsskyldig enbart för ett innehav av företagshemlighet.
Slutsatsen i uppsatsen är att metoden vid implementeringen av direktivet i svensk rätt har inneburit en otydlig begreppsbildning som medför svårigheter vid tolkningen av företagshemlighetslagen. För att uppnå syftet med direktivet, en enhetlig företagshemlighetslagstiftning inom unionen, så krävs förtydligande praxis från EU-domstolen kring de begrepp som är centrala i lagstiftningen. - Trade secrets represent great values for companies and the legal protection of such information is central in promoting companies' opportunities to invest in innovation and fair competition in the market. In order to resolve a significant legal difference in the protection of trade secrets amongst the States of the European Union, the European Parliament adopted an EU directive in 2016 on the protection of trade secrets. Sweden had a law to similar effect adopted in 1990, but to implement the directive, a new law was drafted that came into force in 2018. The new law contains several similarities with the previous law, while the implementation of the EU-directive has led to significant differences as well.
At the beginning of 2021, the... At the beginning of 2021, the Swedish Labor Court announced its first ruling, which tried an action for damages based on the 2018 law. Based on this judgement the thesis aims to investigate the legal consequences of a employees unauthorized attack on company trade secrets. The purpose of the essay necessitates knowledge of the content of applicable law regarding what constitutes a trade secret, when a trade secret has been attacked, and what the tort consequences of an attack are. However, legal sources belonging to the 2018 law are few and provide limited guidance for answering these questions. The directive, its preparatory work and preamble, as well as the preparatory work, precedents, and doctrine related to the law from 1990, are therefore relevant to the thesis investigation.
For employers, the new law sets greater demands on active measures and clarity regarding what constitutes trade secrets. As in the previous law, professional skills and experience are regarded as trade secrets. A major change that the new law has brought about for employees is that they under certain circumstances can be liable for damages for merely the posession of a trade secret.
The conclusion of the thesis is that the method used for implementation of the directive in Swedish law has entailed an unclear concept formation that creates difficulties in the interpretation of the Trade Secrets Act. To achieve the purpose of the directive, uniform trade secret legislation within the Union, clarifying the case-law of the European Court of Justice on the concepts that are central to the legislation is required.
