Spärregler för förlustutjämning vid omstruktureringar av aktiebolag

- En av de viktigaste frågorna för bolag gäller möjligheter till förlustutjämning, dvs. kvittning av en förlust som redovisats för ett beskattningsår mot inkomst för ett annat beskattningsår. Genom möjligheten till förlustutjämning kommer den skatteskyldige att beskattas för en genomsnittsinkomst i stället för de enskilda beskattningsårens varierande resultat.
Möjligheter till förlustutjämning medför ett problem att förlustutjämningen kan utnyttjas på ett otillbörligt sätt. Den nya ägaren kan erhålla skattebesparing genom att utnyttja det förvärvade bolagets tidigare förluster, och skatteförmånen kan vara det huvudsakliga skälet till att transaktionerna genomförs. Reglerna i 40 kap IL har till syfte att neutralisera regler för förlustutjämning vid ägarförändringar och att förhindra ägarförändringar vars huvudsakliga motiv är att tillgodogöra sig underskott.
Begränsningsreglerna är tillämpliga när ett företag som har ett inrullat underskott genomgår en ägarförändring. Spärrsituationer kännetecknas av att ett underskottsföretag kommer under ett nytt bestämmande inflytande eller att ett underskottsföretag eller moderbolag till bolaget får ett bestämmande inflytande över ett annat aktiebolag. Spärrar kan inträda i form av beloppsspärr, koncernbidragsspärr, fusionsspärr, fissionsspärr och övriga begränsningar. Övriga begränsningar kan utgöras av förbud att göra avdrag för kvarvarande negativa räntenetton, kvarstående kapitalförluster och tillfälligt förbud att göra underskottsavdrag för övertagna och egna underskott vid verksamhetsavyttringar och partiella fissioner.
Enligt beloppsmässig begränsningsregel (beloppsspärr) faller ett förlustbolags gamla underskott bort till den del det överstiger dubbla utgiften att förvärva det bestämmande inflyttande i bolaget. Det finns speciella regler om vad som kan ingå i en utgift för att förvärva ett bolag. Beloppspärren förhindrar att ett underskott kan utnyttjas i nära anslutning till en ägarförändring.
Koncernbidragsspärren innebär att underskottsföretaget inte får dra av underskott som uppkommit före ägarförändringsåret mot koncernbidrag från de nya koncernbolagen. Koncernbidragsspärrat underskott får dras mot ”nya vinster” rensade från koncernbidrag från ”nya koncernbolag”. Spärren gäller i fem år.
Fusionsspärren och fissionsspärren innebär att ett underskottsföretag inte får dra av underskott som uppkommit före ägarförändringsåret mot ”nya vinster” i fem år. Fusionsspärr och fissionsspärr kan inträda tillsammans med beloppsspärr. Om överlåtande bolag vid gränsöverskridande fusioner och fissioner har haft kvarstående negativa räntenetton får det övertagande bolaget inte göra avdrag för räntenetton.
Tidsaspekten, dvs. hur länge det dröjer innan förlusten kan kvittas mot intäkter kan vara av stor betydelse för företagsförvärvare. För att det ska vara av intresse för en företagsförvärvare att utnyttja förlusterna förväntas vanligen att förlusterna kan utjämnas inom kort tid. Annars kan transaktionen bli ointressant för förvärvaren, eftersom nuvärdet av avdraget för förlusterna är mycket högre än avdragets värde efter karenstidens utgång. Inskränkningar till förlustutjämning eliminerar och försvagar incitament till att förvärva ett förlustbolag för dess utjämningsmöjligheters skull. Spärrar (karenstider) reducerar ytterligare det pris som en förvärvare är beredd att betala för underskottsföretag. Dessa faktorer påverkar handeln med underskottsföretag.
Koncerninterna ägarförändringar som inte påverkar det bestämmande inflytandet berörs inte av spärrsituationerna.
Det kan uppkomma situationer när flera spärrar träder in samtidigt (t.ex. koncernbidragsspärr och fusionsspärr). I sådana situationer behövs det att veta detaljer om tidsmässiga och beloppsmässiga begränsningar, turordning mellan reglerna, samt regler för beräkningen av årets vinst och underlag för beräkningen av negativt räntenetto. Ränteavdragsbegränsningsregler utgår ifrån ett skattemässigt EBITDA som baseras på och påverkar det skattemässiga resultatet i företaget. Detta ställer ytterligare krav på turordningsregler.
Finansdepartementet lämnade den 10 juni 2021 förslag till Riksdagen om behov att införa nya bestämmelser som begränsar möjligheten att använda tidigare års underskott. I mitt arbete går jag igenom förslaget.
Regelsystemet är komplicerat vilket medför många frågeställningar vid rättstillämpningen. Jag diskuterar de frågorna i avslutande kapitel. (Less) - Abstract

of accumulated losses.
The limitation rules applies when a company with accumulated losses
undergoes a change of ownership. Limitations are activated when a company
with accumulated losses is acquired or acquires another company. Limitations
can occur in the form of amount limitation rules, group contribution
limitations, merger blocking, demerger blocking and other restrictions. Other
limitations may come in the form of a prohibition on deductions for remaining
negative net interest income, remaining capital losses and in the form of a
temporary limitation on deductions for acquired and own losses in connection
with divestments of business and partial demergers.
According to the amount limitation rule, a deficit company's old losses fall
away to the extent of double the expense of acquiring the control over the
deficit company. There are special rules about what can be included in the
expense for calculating the amount limitation. The amount limitation rule
prevents accumulated losses being taken advantage of during change of
ownership.
The limitation on group contributions means that the deficit company may
not deduct losses that have arisen before the year of change of ownership
against group contributions from the ”new group companies”. These losses
may only be deducted against "new profits" or against group contributions
from "old group companies". The limitation lasts for 5 years.
Merger block and demerger block implies that a deficit company may not
deduct losses that have arisen before the year of change of ownership against
“new profits” for 5 years. Merger block and demerger block can be activated
together with the amount limitation rule. If the transferring company in the
case of cross-border mergers and demergers has had a negative net interest,
the acquiring company may not use this interest for deduction.
Limitation periods (lock-in periods) reduce the value of deficit companies.
Without limitation rules, the advantages of using another company’s losses could be of bigger importance and motive for changes in ownership. Intragroup ownership changes that do not affect the controlling influence are not
affected by the limitation rules.
There might be situations when several barriers (limitation rules) are activated
at the same time. For example, group contribution limitations apply together
with merger blocks. In such situations, it is necessary to know details about
every limitation and block, order of priority between the rules, and rules for
the calculation of the year's profit as well as the basis for the calculation of
negative net interest income.
On 10th of June 2021, the Ministry of Finance submitted a proposal to the
Swedish Parliament (Riksdag) on the necessity to introduce new provisions
that further limit the possibility of using previous years' losses. In this work, I go through that proposal.
The above described field of law is complicated, which entails many
questions in law implementation. I will discuss these questions in the
concluding chapter. (Less)
