Informationsgivning vid andelsbaserad gräsrotsfinansiering i privata aktiebolag - En utredning av regleringsbehovet

- Andelsbaserad gräsrotsfinansiering i privata aktiebolag saknar för närvarande en reglering som ställer krav på informationsgivning i svensk rätt, då befintlig reglering endast omfattar publika aktiebolag. Då det inte ställs krav på informationsgivning finns det få incitament för det kapitalsökande bolaget och investeringsplattformen att vid gräsrotsfinansiering dela med sig av information som riskerar att hämma investeringsmöjligheterna och investerarskyddet. Avsaknaden av en reglering riskerar därför i längden att bidra till informationsasymmetrier mellan det kapitalsökande bolaget och investerare.

För att undkomma problematiken framstår det som nödvändigt att införa en reglering som fastställer specifika krav på informationsgivning vid andelsbaserad gräsrotsfinansiering i privata aktiebolag. Dessutom utreds hur en sådan reglering bäst genomförs. Centralt för utredningen är EU:s gräsrotsförordning samt de två lagförslag om gräsrotsfinansiering som tidigare lagts fram i svensk rätt. Med lagförslagen i beaktande diskuteras det i uppsatsen hur en reglering bäst utformas för att tillvarata olika intressen.
I uppsatsen dras slutsatsen att det sett till gräsrotsfinansieringens karaktär, vore mest ändamålsenligt om regleringen eftersträvar att upprätthålla samma krav på informationsgivning som i EU:s gräsrotsförordning, vilken endast är tillämpbar i publika aktiebolag. Framförallt då det finns få skillnaderna mellan privata och publika aktiebolag vid andelsbaserad gräsrotsfinansiering. (Less) - Abstract

The essay focuses on the EU Crowdfunding Regulation and the two legislative proposals on crowdfunding previously presented in Swedish law. Taking these into account, the presentation discusses how a regulation is best designed to meet different interests.
The conclusion is that, given the nature of crowdfunding, it would be most appropriate for the regulation to strive to maintain the same disclosure requirements as those in the EU Crowdfunding Regulation, which only applies to public limited liability companies. Especially since there are few differences between private and public limited companies in the case of equity crowdfunding. (Less)
