Det råder inte längre någon tvekan att lojalitetsprincipen är en av de grundläggande principerna som underbygger parters förpliktelser i internationella kommersiella avtal. Dess uttryckliga uttalande i UNIDROIT Principles of International Commercial Contracts och Principles of European Contract Law garanterar dock inte att de nationella rättsordningar accepterar dess betydelse samt erbjuder tillämpningsmekanismer i samma utsträckning som de nämnda internationella instrumenten. Det råder inte längre någon tvekan att lojalitetsprincipen är en av de grundläggande principerna som underbygger parters förpliktelser i internationella kommersiella avtal. Dess uttryckliga uttalande i UNIDROIT Principles of International Commercial Contracts och Principles of European Contract Law garanterar dock inte att de nationella rättsordningar accepterar dess betydelse samt erbjuder tillämpningsmekanismer i samma utsträckning som de nämnda internationella instrumenten. I synnerhet, åligger de svenska avtalslagarna inte direkt avtalsparter en skyldighet att agera lojalt under fullgörelse av kommersiella avtal, inklusive vid avtalsförhandling och även efter avtalsfullgörelse. De flesta svenska rättsteoretiker är dock ense om att lojalitetsplikten är vedertagen inom systemet av de allmänna avtalsrättsliga principerna. De medger också att även om brott mot lojalitetsplikten inte själv kan ge upphov till skadeståndsansvar, kan plikten definitivt ses som en av de underförstådda grunder för tolkning av en avtalsenlig rättighet eller skyldighet.

Syftet med uppsatsen är att undersöka lojalitetspliktens innebörd och funktion enligt svensk rätt, UNIDROIT Principles of International Commercial Contracts och Principles of European Contract Law rätt i dess vida mening, samt dess särskilda betydelse för kommersiella entreprenadavtal enligt Allmänna Bestämmelser för byggnads-, anläggnings- och installationsentreprenad (AB 04). Den huvudsakliga frågan som kommer att besvaras i denna uppsats är huruvida lojalitetsplikten i kommersiella entreprenadavtal är ett separat åtagande som förorsakar uppkomst av avtalsförpliktelser enligt AB 04 samt bidrar till trovärdig och skälig fullgörelse därav eller inte. Abstract
It is no longer a doubt that the principle of good faith and fair dealing is one of the fundamental ideas underlying the parties’ obligations under international commercial contracts. Its explicit declaration in the UNIDROIT Principles of International Commercial Contracts and the Principles of European Contract Law does not however guarantee that the domestic legal systems accept the significance thereof as well as provide for the mechanisms of its application to the same extend as the mentioned international instruments. It is no longer a doubt that the principle of good faith and fair dealing is one of the fundamental ideas underlying the parties’ obligations under international commercial contracts. Its explicit declaration in the UNIDROIT Principles of International Commercial Contracts and the Principles of European Contract Law does not however guarantee that the domestic legal systems accept the significance thereof as well as provide for the mechanisms of its application to the same extend as the mentioned international instruments. In particular, the Swedish contract laws do not directly impose a duty onto a party to a commercial contract to act in accordance with good faith and fair dealing throughout the life of the contract, including the negotiation and post-contractual stage. That notwithstanding the majority of the Swedish scholars agrees that the principle of good faith and fair dealing is accepted within the system of the general principles of Contract Law. They also admit that, although breach of the duty cannot itself give rise to contractual liability, the duty itself can definitely be regarded as one of the implied grounds for interpretation of a contractual right or obligation.

The paper is aimed at studying of Swedish Law, the UNIDROIT Principles of International Commercial Contracts and the Principles of European Contract Law in order to elicit the meaning and function of the principle of good faith and fair dealing in its generic sense, as well as its particular interpretation for the purposes of the commercial construction contracts according to the General Provisions for Building, Construction and Installation Contracts (AB 04). The main question supposed to be answered in this research paper is whether the duty of good faith and fair dealing in a construction contract represents an independent commitment underlying the contractual obligations envisaged in AB 04 and, thus, the one contributing to faithful and reasonable execution thereof or not.
