- Syftet med denna uppsats är att belysa problematiken kring tillämpningen av instituten ansvarsgenombrott respektive verksamhetsutövare i koncernförhållanden. Genom en studie av rättskällorna har jag fastställt rättsläget vad gäller de båda instituten. Tillsammans med avgörandet i MÖD 2013:28 har jag sedan tagit reda på vilka möjligheter det finns att göra moderbolaget ansvarigt för dotterbolagets förpliktelser orsakade av miljöskadlig verksamhet.
Jag har använt mig av rättsdogmatisk metod och det är således lag, förarbete, praxis och doktrin som utgör grunden i denna uppsats. Krister Moberg, Jan Darpö och Gabriel Michanek är några av dem som genom sin forskning bidragit till att belysa problematiken.
Studien visar att:
1. Verksamhetsutövarbegreppet i 10 kap 2 § MB har genom avgörandet i MÖD 2013:28 utvidgats på ett sådant sätt att det är möjligt att göra moderbolaget ansvarigt för avhjälpandet. Rekvisitet är att detta haft faktisk och rättslig möjlighet att påverka den verksamhet vilken orsakat miljöskadan.
2. Moderbolaget kan även bli skyldigt att svara för ersättning av miljöskadan genom institutet ansvarsgenombrott. Detta institut kan tillämpas om dotterbolaget varit osjälvständigt. Några omständigheter som visar på osjälvständighet är underkapitalisering, osjälvständig verksamhet och osjälvständigt affärsmässigt syfte. (Less) - Abstract
- The purpose of this essay is to illustrate the difficulties in applying the concepts of “piercing the corporate veil” (ansvarsgenombrott) and “operator” (verksamhetsutövare) in corporate group relationships. By studying the sources of law I have determined what is current law regarding the two institutes. Combining the outcome of this study with the judgement in case MÖD 2013:28 I have tried to establish what possibilities exist to make the parent company liable for the subsidiary’s obligations caused by environmentally hazardous activities.

The study shows that:
1. The concept of “the operator” in 10 chapter 2 § MB has, through the judgement in MÖD 2013:28, been extended in such a way that it is possible to make the parent company liable for the treatment. The requisite is that the parent company has had the factual and legal position to influence the activities that caused the environmental damage.
2. The parent company may also be held liable to indemnify the environmental damage through the institute of “piercing the corporate veil”. It is possible to apply this institute when the subsidiary has lacked in independence in relation to the parent company. Circumstances that indicate lack of independence are undercapitalization, dependent activity and a dependent business purpose. (Less)
