- Ändringsbefogenheten i entreprenadavtalen utgör ett viktigt element i entreprenadrätten och säkerställer entreprenaders fullgörande. Entreprenadavtalen är särpräglade och skiljer sig från avtal i övrigt på grund av de förhållanden som råder i ett entreprenadavtal. Dessa avtal kan däremot ibland stå i motsats till de upphandlingsrättsliga reglerna om väsentliga ändringar och direktupphandlingar. En entreprenör måste alltid fullgöra sina skyldigheter genom att utföra ändrings- och tilläggsarbeten som uppfyller sambands- och egenskapskravet i AB 04. Nämnda ändringar kan samtidigt strida mot likabehandlingsprincipen och öppenhetsprincipen i de offentliga kontrakten.

I den upphandlingsrättsliga regleringen får inte väsentliga ändringar av ett kontrakt under löptiden vidtas. De ändringar som sker enligt de entreprenadrättsliga ÄTA-arbetena utgör ibland större förändringar vilket kan skapa svårigheter i de offentliga byggentreprenadskontrakten. Vid bedömningen av väsentliga ändringar i offentliga byggentreprenadskontrakt enligt ÄTA-arbeten förblir Pressetext-domen och artikel 72 i direktiv 2014/24/EU vägledande och centrala.
Enligt de kriterier som ställs upp i domen leder ändringar som hade gjort det möjligt för annan anbudsgivare att godkännas än den som ursprungligen godkändes till att villkoren ändras väsentligt och en väsentlig ändring sker också om den ekonomiska jämvikten mellan parterna ändras till förmån för anbudsgivaren. Betydlig utvidgning av kontraktets omfattning och byte av avtalspart innebär även de väsentliga ändringarna av kontraktet enligt domen. Avsaknaden av praxis gällande väsentlighetsbedömningen av ändringar enligt ÄTA-arbeten gör alltså artikel 72(4) i direktivet betydelsefull. Gränsen för när ett ÄTA-arbete utgör en väsentlig ändring är däremot svår att förutse i nuläget och rättsläget behöver klargöra ytterligare. (Less) - Abstract
- The possibility to change an existing contract is essential in construction contracts and ensures the fulfilment of the work. The possibility to modify the constructions contracts makes these contracts different from other contracts in general. This modification can, however, sometimes stand in contrast to the public procurement rules regarding material changes and a new procurement procedure must be considered. Within the construction contract the contractor has an obligation to perform ÄTA-works that occur due to changes, additions and cancelations according to AB 04. These modifications can also conflict with the principle of equal treatment and the principal of transparency in the public procurement rules.
Material changes and... (More) - The possibility to change an existing contract is essential in construction contracts and ensures the fulfilment of the work. The possibility to modify the constructions contracts makes these contracts different from other contracts in general. This modification can, however, sometimes stand in contrast to the public procurement rules regarding material changes and a new procurement procedure must be considered. Within the construction contract the contractor has an obligation to perform ÄTA-works that occur due to changes, additions and cancelations according to AB 04. These modifications can also conflict with the principle of equal treatment and the principal of transparency in the public procurement rules.
Material changes and modifications to existing contracts may not be carried out without a new procurement procedure. A modification according to ÄTA-works generally involves substantial changes of the existing contract, which can cause difficulties in the public works contract. When assessing whether a change is substantial or just a small-scale modification the Pressetext case and article 72 in directive 2014/24/EU becomes significant and important.
According to the Pressetext case there are four elements that can indicate that a substantial change has been carried out in a public contract. If a condition is introduced to an existing contract which, if this condition had been part of the contract from the beginning, would have allowed other than the winning tender to be accepted can this indicate that the change is material. An economic change of the balance of the contract in favour of the supplier also indicates a substantial change and also a change, which considerably extends the scope of the contract. A change of the contractual partner can also signify a material change according to the Pressetext judgment. The scope of the changes in public contract is however uncertain and a request for clarification is needed in the public procurement law. (Less)
