- Syftet med denna uppsats är att undersöka hur den svenska lagstiftningen angående det personliga betalningsansvaret för styrelseledamöter i ett aktiebolag enligt 25 kap. 18 § ABL ser ut. Mer specifikt är syftet att undersöka när ansvaret aktualiseras samt hur rekvisitet skäl att anta kritisk kapitalbrist enligt 25 kap. 13 § p. 1 ABL ska tolkas. För att uppnå syftet har följande frågeställningar undersökts:
- När aktualiseras det personliga betalningsansvaret för styrelseledamöter i ett aktiebolag enligt 25 kap. 18 § ABL?
- Hur ser kapitalbristreglernas handlingsschema ut?
- Hur ska rekvisitet ”skäl att anta” enligt 25 kap. 13 § p. 1 ABL tolkas?

Innehållet i uppsatsen har grundats på en rättsdogmatisk metod vars syfte är att fastställa och analysera gällande rätt. För att uppnå den rättsdogmatiska metodens syfte ska svar på frågeställningarna således sökas efter i allmänt accepterade rättskällor. De allmänt accepterade rättskällorna har en hierarkisk ställning enligt följande: lagstiftning, rättspraxis, lagförarbeten, offentliga utredningar samt doktrin.
Resultatet av uppsatsen visar att tillämpningen av kapitalbristreglerna ska ske utifrån samtliga omständigheter som råder i det aktuella bolaget. Det betyder således att bedömningen av ansvar ska ske från fall till fall. Med utgångspunkt i uppsatsens resultat kan kapitalbristreglerna ses som diffust formulerade, vilket således resulterar i att tillämpningen av reglerna i det praktiska livet är invecklat. - This paper investigates how the Swedish legislation regarding personal liability for board members in a limited company appears according to Chapter 25, section 18 in the Swedish Companies Act. Specifically, when liability is actualized as well as how the prerequisite “reason to assume” capital deficiency pursuant to Chapter 25, section 13 point 1 in the Swedish Companies Act shall be interpreted.
In order to achieve the purpose, the following questions has been investigated:
• When does the personal liability for board members occur according to Chapter
25, section 18 in the Swedish Companies Act?
• How does the action schedule, set by the rules of capital deficiency look like?
• How should the prerequisite ”reason to assume”... Specifically, when liability is actualized as well as how the prerequisite “reason to assume” capital deficiency pursuant to Chapter 25, section 13 point 1 in the Swedish Companies Act shall be interpreted.
In order to achieve the purpose, the following questions has been investigated:
• When does the personal liability for board members occur according to Chapter
25, section 18 in the Swedish Companies Act?
• How does the action schedule, set by the rules of capital deficiency look like?
• How should the prerequisite ”reason to assume” according to Chapter 25,
section 13 point 1 in the Swedish Companies Act be interpreted?
The content of the paper has been based on a legal-judicial method whose purpose is to determine and investigate current law. In order to achieve the purpose of the legal judicial method, the answer to the questions should be sought in generally accepted sources. The generally accepted sources of law have a hierarchical position as follows: legislations, case law, draft legislation, public investigations and doctrine.
The result of this paper shows that the enforcement due to capital deficiency should be based on all circumstances regarding the company in question. This means that the assessment of responsibility is to be done on a case-by-case basis. Based on the paper’s results, the capital deficiency rules are diffuse, which results in difficulties in applying the rules in real life. (Less)
