- This thesis examines the personal liability of corporate management for environmental damages under Swedish law, focusing on the provisions in the
Environmental Code (MB), the Companies Act (ABL), and the proposed Corporate Sustainability Due Diligence Directive (CSDDD). The thesis analyzes
how these regulatory frameworks interact and how they influence the liability
of corporate management in cases of environmental damage.
It is established that corporate management can be held liable for environmental damages under the strict liability provisions of the Environmental
Code, which entails liability even in the absence of negligence. Further, the

It is established that corporate management can be held liable for environmental damages under the strict liability provisions of the Environmental

internal liability according to the Companies Act is examined, where the duties and powers assigned to corporate management play a central role. The
thesis also highlights how companies can prevent liability by adhering to regulations and obtaining consent from superior corporate bodies, as well as how
minority shareholders can initiate claims for damages despite given consent.
The conclusion is that the liability of corporate management for environmental damages is regulated by a complex set of laws and principles, requiring a
careful balance between business interests and environmental considerations.
