- Abstract
- The aim of this essay has been to explore and analyse the general clause, 33 §, in Avtalslagen to understand when the court can apply it and what criteria need to be met for it to be used. Additionally, I have looked into the concept of invalidity and the possible legal consequences of declaring a contract invalid. Through studying the law, preparatory work, legal literature and relevant case studies, I found that 33 §, while rarely applied is still very important. The key requirement is that a contract must violate “good faith and fair dealing” to be considered invalid. - Denna uppsatsens syfte har varit att undersöka och analysera den lilla generalklausulen i avtalslagen, 33 §, för att se när den kan tillämpas av domstolar och vilka rekvisit den ställer upp som krav för att bestämmelsen ska bli tillämpningsbar. Vidare har även en analyserande redogörelse gjorts för begreppet ogiltighet och vad möjliga rättsföljder kan bli när ett avtal ogiltigförklaras. Genom att studera lag, förarbeten, juridisk litteratur och relevanta rättsfall har jag kommit fram till att 33 § är en paragraf som sällan tillämpas men som ändå är av stor betydelse. Huvudregeln vid ogiltighet är att avtalet upphör och utförda prestationer ska återgå.
