- Min kandidatuppsats fokuserar på att analysera vilka möjligheter det finns att förena
vinstsyftet enligt 3 kap. 3 § aktiebolagslagen med hållbarhet. Både hållbarhet och
vinstsyfte är viktiga aspekter. Det är svårt att kombinera de två aspekterna i ett aktiebolag
då vinstgenerering är det man strävar efter, detta kan leda till kollision med
hållbarhetsaspekter.
I det andra kapitlet ligger fokuset på vinstsyftet enligt 3 kap. 3 § i aktiebolagslagen samt
hur det juridiskt definieras och tillämpas i praktiken. Detta ger en förståelse för
vinstsyftets centrala roll i företagsstyrning och dess potentiella konflikt med kort- och

vinstsyfte är viktiga aspekter. Det är svårt att kombinera de två aspekterna i ett aktiebolag
då vinstgenerering är det man strävar efter, detta kan leda till kollision med
hållbarhetsaspekter.
I det andra kapitlet ligger fokuset på vinstsyftet enligt 3 kap. 3 § i aktiebolagslagen samt
hur det juridiskt definieras och tillämpas i praktiken. Detta ger en förståelse för
vinstsyftets centrala roll i företagsstyrning och dess potentiella konflikt med kort- och
långsiktiga vinstperspektiv. I det tredje kapitlet undersöks om det finns möjlighet för
aktiebolag att avvika från strikt vinstsyfte. Detta utifrån en analys av lagens flexibilitet
och begränsningar. I denna uppsats har det även belysts hur företag står inför valet mellan
att maximera vinst och samtidigt ta ett bredare socialt och miljövänligt ansvar. Kapitlet
avslutas med hållbarhetsaspekter från koden för svenska bolag, där icke tvingande agerar
som vägledande normer. Dessa följs huvudsakligen från börsnoterade aktiebolag, men
småbolag inspireras av dessa för att kunna anpassa sig mer effektiv i framtiden på
omställningen mot hållbarhet.
Min slutsats visar att det finns en växande juridisk och moralisk förväntan på svenska
aktiebolag att balansera vinstgenerering med hållbarhetsansvar. Hållbarhetsansvaret kan
medföra högre kostnader för aktiebolag på kort sikt, vilket gör att aktiebolag kan bli
mindre effektiva när det gäller att generera mer vinst. Perspektivet ändras dock när man
tittar på lång sikt. Framtiden för företagsstyrning i Sverige och inom Europeiska
unionen ser ut att alltmer inriktas på att integrera hållbarhet. Detta som en central del i
företagsstrategier, vilket är avgörande för att främja en hållbar utveckling både
ekonomiskt och för miljön. (Less) - Abstract
- My bachelor's thesis focuses on analyzing the possibilities of reconciling the profit
motive according to Chapter 3, Section 3 of the Swedish Companies Act with
sustainability. Both sustainability and profit motive are important aspects. It is difficult
to combine the two aspects in a limited liability company when profit generation is the
aim, which can lead to a collision with sustainability aspects.
In the second chapter, the focus is on the profit motive accding to Chapter 3, Section 3
of the Companies Act and how it is legally defined and applied in practice. This
provides an understanding of the central role of the profit motive in corporate

third chapter examines whether it is possible for limited liability companies to deviate
from the strict profit motive. This is based on an analysis of the flexibility and
limitations of the law. This paper has also highlighted how companies are faced with the
choice between maximizing profits while taking broader social and environmental
responsibilities. The chapter concludes with sustainability aspects from the Code for
Swedish Companies, where non-mandatory acts as guiding norms. These are mainly
followed by listed companies, but small companies are inspired by them to be able to
adapt more effectively in the future to the transition towards sustainability.
My conclusion shows that there is a growing legal and moral expectation on Swedish
limited companies to balance profit generation with sustainability responsibility.
Sustainability responsibility may entail higher costs for limited companies in the short
term, which may make limited companies less efficient in generating more profit.
However, the perspective changes when looking at the long term. The future of
corporate governance in Sweden and the European Union looks increasingly focused on
integrating sustainability. This as a central part of corporate strategies, which is crucial
to promote sustainable development both economically and environmentally. (Less)
