Syfte: Syftet med studien är att undersöka variabler som motiverar budpremiens storlek vid förvärv av målföretag inom EU. Uppsatsens mål är att använda utvalda variabler från tidigare empirisk forskning i en gemensam kontext för att studera förklaringsgraden och eventuell statistisk signifikans.
Metod: En deduktiv ansats tillämpas och kvantitativa data analyseras genom multipel regressionsmodell. Studien undersöker de 150 största förvärven inom Europeiska Unionen som tillkännagavs mellan 2010-01-01 och 2020-12-31.
Teoretiska perspektiv: Studien undersöker variabler som påverkar budpremien utifrån tidigare empirisk forskning. Hybrishypotesen och agentteorin har inkluderats för att förklara eventuell påverkan av mänskliga motivationer och incitament.
Resultat: Den genomsnittliga budpremien för undersökta förvärv är 21.7 procent. Av studerade förklaringsvariabler visar patentciteringar ett positivt och signifikant samband. Övriga variabler visar inte statistisk signifikans på 5 procent. Totalt sett visar studien en justerad förklaringsgrad på 9.8 procent.
Slutsats: Innovation, mätt genom patentciteringar, uppvisade det starkaste positiva sambandet för budpremien, följt av företag inom högteknologisk bransch och ytterligare variabler uppvisade ingen signifikans. Studien argumenterar vidare för hur konkretisering av diffusa variabler har en stor påverkan vid förvärv, särskilt när det kommer till förhandlingsstyrka, antal placerade bud och beräkning av synergieffekter. Purpose: The purpose of the study is to examine variables that motivate the size of the bid premium in the acquisition of target companies in the EU. The paper aims to use selected variables from previous empirical research in a common context to study the degree of explanation and possible statistical significance.
Methodology: A deductive approach is applied and quantitative data is analyzed by a multiple regression model. The study examines the 150 largest acquisitions in the European Union announced between 2010-01-01 and 2020-12-31.
Theoretical perspectives: The study examines variables that affect the bid premium based on previous empirical research. The hubris hypothesis and agency theory have been included to explain the possible influence of human motivations and incentives.
Result:The average bid premium for the acquisitions studied is 21.7 percent. Of the explanatory variables studied, patent citations show a positive and significant relationship. Other variables do not show statistical significance at 5 percent. Overall, the study shows an adjusted 9.8 percentage degree of explanation.
Conclusion: Innovation, measured by patent citations exhibited the strongest positive relationship with bid premium, followed by companies operating within high-tech industries and the additional variables showed no significance. The study argues how defining diffuse variables has a large impact on the acquisition process, especially when it comes to negotiation strength, number of bids placed and calculation of synergistic effects.
