Tilläggsköpeskillingar - När och hur de beskattas

Tilläggsköpeskillingar har kommit att användas allt mer frekvent i förvärvssammanhang. Detta gäller framför allt i fråga om företagsförvärv men finansieringsmodellen används även i andra sammanhang såsom vid förvärv av fastigheter, patent, tjänster och så vidare. En tilläggsköpeskilling går ut på att säljaren får en fast del av ersättningen vid förvärvet medan möjlighet finns till en eller flera ytterligare betalningar vid en senare tidpunkt. Dessa tillkommande belopp är kopplade till framtida händelser såsom den förvärvade tillgångens framtida resultat eller vid företagsförvärv genom att vissa nyckelpersoner kvarstannar i anställning i det förvärvade bolaget. Detta gäller framför allt i fråga om företagsförvärv men finansieringsmodellen används även i andra sammanhang såsom vid förvärv av fastigheter, patent, tjänster och så vidare. En tilläggsköpeskilling går ut på att säljaren får en fast del av ersättningen vid förvärvet medan möjlighet finns till en eller flera ytterligare betalningar vid en senare tidpunkt. Dessa tillkommande belopp är kopplade till framtida händelser såsom den förvärvade tillgångens framtida resultat eller vid företagsförvärv genom att vissa nyckelpersoner kvarstannar i anställning i det förvärvade bolaget. På detta sätt blir det totala förvärvspriset beroende av tillgångens framtida prestation. Risken för köparen minskar vilket kan göra att köpare och säljare får lättare att komma överens i en avtalsförhandling.

Det faktum att endast en del av den totala köpeskillingen med säkerhet kan fastställas skapar en del frågetecken rörande beskattningen. Normalt är det förvärvet som är avgörande för beskattningstidpunkten men då en del av köpeskillingen inte kan beräknas vid denna tidpunkt blir detta i praktiken en omöjlighet. Gällande kapitaltillgångar har beskattningstidpunkten därför bestämts till den tidpunkt då det tillkommande beloppet kan beräknas. I avsaknad av tydliga förarbetsuttalanden eller praxis diskuteras i denna uppsats när denna tidpunkt i praktiken infaller. Slutsatsen är att tidpunkten normalt bör infalla relativt nära det faktiska utbetalandet men att utgången kan variera beroende på utformningen av avtalet.

Vad gäller tillgångar som ska beskattas i inkomstslaget näringsverksamhet saknas ofta regler om beskattningstidpunkten i IL varför svaret får sökas i redovisningsprinciperna. Det finns inget klart och entydigt svar på när en tilläggsköpeskilling ska redovisas som intäkt enligt exempelvis god redovisningssed men efter en genomgång av de källor som finns att tillgå på området menar författaren att beskattningstidpunkten för dessa tillgångar i stort bör sammanfalla med beskattningstidpunkten för kapitalbeskattade tillgångar.

Avslutningsvis diskuteras den starka koppling som en tilläggsköpeskilling kan ha till säljarens fortsatta anställning i det förvärvade bolaget. Det är inte alltid lätt att skilja tilläggsköpeskillingen från till exempel ett incitamentsprogram och det finns exempel från praxis där en tilläggsköpeskilling omklassificerats till att beskattas i tjänst.

Sammanfattningsvis visar detta arbete på vilka skatterättsliga överväganden som bör vägleda valet av utformning av en tilläggsköpeskilling. Problemet för lagstiftaren är att ett avtal om tilläggsköpeskilling kan anta oändligt många former och det är svårt att avgöra hur respektive lydelse ska hanteras skatterättsligt. Arbetet utgår från de avtalsformer som torde vara vanligast i praktiken och analyserar dess skatterättsliga konsekvenser. (Less)

Earn-outs have become more frequently used in acquisitions. This is particularly true in the case of acquisitions of companies. But the funding model is widely used even in other contexts such as the acquisition of property, patents, services and so on. An earn-out is a contract where the seller receives a fixed remuneration of the acquisition at the time of the contract while the possibility exists for one or more additional payments at a later date. These additional amounts are related to future events such as the acquired asset's future earnings or in terms of acquisitions of companies that certain key people persist in employment. Earn-outs have become more frequently used in acquisitions. This is particularly true in the case of acquisitions of companies. But the funding model is widely used even in other contexts such as the acquisition of property, patents, services and so on. An earn-out is a contract where the seller receives a fixed remuneration of the acquisition at the time of the contract while the possibility exists for one or more additional payments at a later date. These additional amounts are related to future events such as the acquired asset's future earnings or in terms of acquisitions of companies that certain key people persist in employment. In this way, the total purchase price depends on the asset's future performance and reduces the risk of the buyer, which may mean that buyers and sellers can more easily agree in a contract negotiation.

The fact that only part of the total purchase price will be established with certainty creates some question marks in terms of taxation. Typically, the date of the contract is decisive for taxation but since part of the purchase price cannot be estimated at this moment, this is impossible in cases of earn-outs. Capital assets are therefore taxable at the time when the additional amount can be calculated. In the absence of clear preparatory work statements or case law, this paper will discuss when this time appears in practice. The conclusion is that the time normally should occur relatively close to the additional payment being paid but that the outcome may vary depending on the design of the specific agreement.

Unlike capital assets no provisions are found in the Swedish tax law regarding the taxation time for some kinds of business assets, why the answer must be searched for in the accounting rules. However, neither generally accepted accounting principles have a clear statement of the taxation time for earn-outs. But after a review of the sources available in this area the author comes to the conclusion that the taxation time for these assets as a whole should be the same as with the time for taxation of capital assets.

Finally the strong connection between an earn-out and the seller’s continued employment is discussed. As we will see, it is not always easy to distinguish an earn-out from an incentive program and there are examples in case law where an earn-out is reclassified to be taxed as services.

In summary, this is a work on the taxation of earn-outs and what considerations that has to be done in constructing such contract. This work will investigate how the construction of the contract will affect the taxation of the additional payment. (Less)
