The Expert Clause - En internationell komparativ studie

Uppsatsen avser att undersöka den gränsdragningsproblematik som kan uppstå när avtalsparter lämnar en klausul öppen för att den vid ett senare tillfälle ska fyllas med innehåll av en tredjeman. Skillnaden mellan dessa värderingsklausuler och skiljeklausuler samt metoder för att undvika problematik med gränsdragningen är centrala frågor. Värderingsklausuler behandlas endast i samband med företagsöverlåtelser, även om andra områden där de kan aktualiseras finns.

Skillnaden mellan dessa värderingsklausuler och skiljeklausuler samt metoder för att undvika problematik med gränsdragningen är centrala frågor. I en komparativ internationell studie avhandlas hur gränsdragningen ser ut i England och Wales, USA, Kanada, Tyskland, Ryssland och Kina, vissa länder mer ingående än andra, detta framför allt på grund av hur frekvent värderingsklausuler används samt hur mycket material och avgöranden som finns på området.

I Sverige och internationellt är slutsatsen att gränsdragningen tydliggörs när etablerad praxis används och/eller användningsfrekvensen av värderingsklausuler ökar. Ett expertavgörande måste bekräftas i dom eller skiljedom för att erkännas och verkställas, både nationellt och internationellt.

Avhandlingen inleds med en beskrivning av värderingsklausuler i förhållande till företagsöverlåtelser (kap. 2). Därefter följer en praktisk internationell komparativ studie, där även gransdragning blir aktuell (kap. 3). För att avsluta den deskriptiva delen belyses gränsdransdragningsproblematiken i Sverige mer ingående (kap. 4). Uppsatsen avslutas därefter med en analys och en sammanfattande slutsats (kap. 5). This thesis intends to distinguish the demarcation problems that may arise when two parties leave an open clause, in a contract, to later be filled with content by a third party. The difference between expert valuation clauses and arbitration clauses, and how to avoid problems with demarcation are the key issues of the thesis. Expert valuation clauses will only be considered in the area of mergers and acquisitions, although there are other areas where they are used.

An expert determination must be confirmed in a judgment or arbitration award to be recognized and enforced, both in a national and an international aspect.

The thesis begins with a description of expert valuation clauses in relation to mergers and acquisitions, (Chapter 2). The descriptive part of the essay illustrates demarcation and enforceability problems in Sweden in more detail, (Chapter 3). This is followed by a practical international comparative study, which tries to distinguish the demarcation problems at stake, (Chapter 4).
