Köparens undersökningsplikt vid ett företagsförvärv - Den artificiella intelligensens påverkan

- Antalet företagsförvärv har de senaste åren ökat och det finns indikationer på att en sådan trend kommer att fortlöpa. En annan trend på marknaden för företagsförvärv är framväxten av AI- teknologin som på olika sätt kan få konsekvenser för förvärvsprocessen. Dessa två trender i kombination med riskfördelningen mellan parterna föranleder uppsatsens syfte som är att utreda köparens undersökningsplikt vid ett företagsförvärv samt utvecklingen av AI inom juridiken.
Det finns ingen lag som explicit reglerar företagsförvärv. Praxis och den dominerande uppfattningen i doktrin talar dock för att köplagen kan tillämpas på företagsförvärv. Riskfördelningen mellan köpare och säljare kan därmed avgöras utifrån köplagens bestämmelser.... Dessa två trender i kombination med riskfördelningen mellan parterna föranleder uppsatsens syfte som är att utreda köparens undersökningsplikt vid ett företagsförvärv samt utvecklingen av AI inom juridiken.
Det finns ingen lag som explicit reglerar företagsförvärv. Praxis och den dominerande uppfattningen i doktrin talar dock för att köplagen kan tillämpas på företagsförvärv. Riskfördelningen mellan köpare och säljare kan därmed avgöras utifrån köplagens bestämmelser. Utgångspunkten är att säljaren står risken för köparens befogade förväntningar. Risken kan dock omfördelas i och med köparens undersökningsplikt. Undersökningspliktens omfattning påverkas sedermera av en rad olika faktorer; dess aktualisering, informationens tillgänglighet, köparens sakkunskap och säljarens agerande är alla faktorer som påverkar undersökningspliktens omfattning.
Teknologin för AI har som tidigare nämnts utvecklats starkt de senaste åren och i enlighet med Moores lag kommer den snabba utvecklingen att fortsätta. Den bakomliggande teknologin kallas för kognitiv teknologi vilken bland annat innefattar maskininlärning och språkteknologi. Införandet av AI på den juridiska marknaden är förenat med stora utmaningar och komplexa frågeställningar. Tekniken kan tillämpas vid företagsbesiktningar på så sätt att AI-verktyg kan granska stora mängder information och generera ett resultat som sedan mänskliga jurister kan analysera. Mycket talar också för att teknologin kommer att börja tillämpas vid företagsbesiktningar på de svenska byråerna.
Mycket tyder på att AI på olika sätt kommer att påverka köparens undersökningsplikt. Dessutom går det att ana tendenser på att köplagens bestämmelser om riskfördelning ej är fullständigt lämpliga för att reglera företagsförvärv. Således finns det anledning att förändra regleringen avseende köparens undersökningsplikt. Enligt min uppfattning är den mest lämpliga lösningen att genomföra ett antal förändringar i den befintliga köplagen. (Less) - Abstract
- The amount of mergers and acquisitions has during the past years increased and there are factors that speak for such a trend to proceed. Another trend on the market for mergers and acquisitions is the emergence of AI that could contain consequences for the acquisition-process in several ways. These two trends combined with the risk-sharing between the parties give rise to the purpose of the essay which is to investigate the buyers obligation to examine in a merger and acquisition and the development of AI in law.

Another trend on the market for mergers and acquisitions is the emergence of AI that could contain consequences for the acquisition-process in several ways. These two trends combined with the risk-sharing between the parties give rise to the purpose of the essay which is to investigate the buyers obligation to examine in a merger and acquisition and the development of AI in law.
There is no law that explicitly regulates mergers and acquisitions. Although precedents and the dominating perception in doctrine speaks for an application of the Sale of Goods Act. The risk-sharing between the buyer and the seller is thereby determined by the regulations in the Sale of Goods Act. The premise is that the seller has the risk for the buyers legitimate expectations, the risk could though be reallocated due to the buyers obligation to examine. The obligation to examine is subsequently affected by multiple factors; its actualization, the availability of information, the know-how of the buyer and the behaviour of the seller are all factors that affect the extent of the obligation to examine.
There has been a fast development of the technology for AI during the past years and according to Moores law the fast development will continue. The technology behind AI is called cognitive technology, which among other things contains machine learning and natural language processing. The establishing of AI in the legal market is associated with big challenges and complex issues. The technology is applicable in a due diligence in the way that an AI-tool can review a large amount of information and generate a result that could be analysed by human lawyers. Several factors indicates that Swedish law firms are going to start implementing AI in there due diligence-processes.
There are many arguments in favour for that AI will affect the obligation to examine in different ways. Furthermore it is possible to divine tendencies about the fact that the regulations in the Sale of Goods Act about the risk-sharing is not completely suitable to regulate mergers and acquisitions. Therefore there exist reasons to modify the regulation regarding the obligation to examine. According to my interpretation the most appropriate solution is to accomplish changes in the existing Sale of Goods act. (Less)
