I den processuella editionsplikten görs en inskränkning till förmån för skyddet av företagshemligheter. När en part vill utfå handlingar som innehåller företagshemligheter fordras nämligen ”synnerlig anledning”. Motiven till inskränkningen är av både enskild och allmän karaktär. Bedömningen av det rekvisitet görs genom en intresseavvägning mellan i huvudsak editionssökandens intresse av att utfå handlingarna och editionssvarandens intresse av att inte lämna ut handlingarna. Uppsatsen avser klargöra den närmare innebörden at det nyss nämnda rekvisitet och den intresseavvägning som utförs vid bedömningen av rekvisitet.

Bedömningen av det rekvisitet görs genom en intresseavvägning mellan i huvudsak editionssökandens intresse av att utfå handlingarna och editionssvarandens intresse av att inte lämna ut handlingarna. Uppsatsen avser klargöra den närmare innebörden at det nyss nämnda rekvisitet och den intresseavvägning som utförs vid bedömningen av rekvisitet.

För att åskådliggöra innebörden av intresseavvägningen används en metaforisk bild av en balansvåg med två vågskålar. Denna teoretiska uppställning används genomgående i framställningen på så sätt att det utreds och analyseras vilka ”vikter” som kan tänkas placeras i respektive vågskål, vilken tyngd de har och vilka utfall som kan tänkas vid olika avvägningar. Vikterna representerar de olika faktorer och aspekter som faller inom editionssökandens respektive editionssvarandens intresse. Sökandens intresse benämns i uppsatsen bevisintresset och består huvudsakligen av de efterfrågade handlingarnas bevisbetydelse i tvisten. Svarandens intresse benämns skadeintresset och består av två komponenter, i form av omfattningen av den skada som kan tänkas uppkomma om företagshemligheten röjs och den risk som föreligger för att sådan skada ska uppkomma. Därutöver identifieras och analyseras i framställningen flertalet olika faktorer och aspekter som i praxis har ansetts kunna få betydelse i intresseavvägningen och som kan inordnas under bevisintresset eller skadeintresset. Utifrån främst praxis dras även slutsatser avseende när rekvisitet ”synnerlig anledning” är uppfyllt och hur domstolarna går tillväga när de utför avvägningen.

Till sist presenteras en fullständig bild av intresseavvägningen i tidigare förklarade balansvågsmetafor. Denna bild representerar rättsläget ifråga om hur intresseavvägningen bör utföras och innebörden av rekvisitet ”synnerlig anledning”. Det konstateras att intresseavvägningen är relativt oförutsebar. Detta hänförs till den relativt höga grad av intuition som får anses prägla domstolarnas avvägningar. (Less)

The procedural obligation to produce documents makes a restriction for the protection of trade secrets. When a party wishes to attain documents containing trade secrets from another party, ”exceptional reasons” are required (sv.: ”synnerlig anledning”). The motives for this restriction are of both public and private nature. The assessment of the prerequisite ”exceptional reason” is made by a balance of interests between essentially the applicant’s interest of attaining the specific document and the holder’s interest of not disclosing the same document. The purpose of this thesis is to investigate and clarify the significance and function of the aforementioned prerequisite and the balance of interests that is undertaken in the assessment of it.

To illustrate the significance and function of the balance of interests, a metaphorical image of a balance scale with pans is used. The theoretical arrangement is used throughout the thesis as the investigation and analysis will identify “weights” to be placed in the scale pans. The weights will be critically assessed to determine which importance can be given to each identified weight, in relation to the metaphorical scale. Furthermore the possible outcomes of the balance of interests under different circumstances will be examined. The weights represent factors and aspects that can affect the balance of interests and that can be arranged under each scale pan respectively, i.e. either in relation to the applicant’s interest or in relation to the holder’s interest. The applicant's interest is referred to in the thesis as the interest of evidence. To a large extent it consists of the significance and importance of the evidence that the applicant wants to attain. The holder’s interest on the other hand is referred to as the damage interest. It consists mainly of two components; the extent of the damage that would occur if the trade secret would be unfolded and the risk of such damage occurring. In the thesis several different factors and aspects, which have been given importance in relation to the balance of interests in case law, will be examined. Based on the assessment of case law the thesis will also evaluate when the prerequisite “exceptional reason” is at hand and how the courts in general have approached the balance of interests.

Ultimately, a complete image of the balance of interests will be presented in accordance with the previously explained metaphorical scale. This image represents how the balance of interests should be carried out and the significance and meaning of the prerequisite ”exceptional reason”. It is concluded that the balance of interests is characterized by uncertainty, which to a large extent can be ascribed to the fairly large degree of intuition that seem to pervade the courts’ judicial assessments in this question.
